A Few Details Worth Knowing
- The §428-404 default requires all-member consent for operating-agreement amendments. Review any permitted agreement variation under §428-103. When written action substitutes for an otherwise required meeting, §428-404(d) specifies recorded consents signed by all entitled voters.
- Needed even as a single-member LLC — it still separates your business and personal affairs, and many banks will ask for one regardless of ownership structure.
- Can be updated any time — amend it as your business grows or circumstances change, as long as all members agree.
- Not filed publicly — Hawaii's Articles of Organization lists your organizer and registered agent, but ownership percentages and internal governance stay private in your operating agreement.

Use the outline to guide a conversation with your co-owners (or your own planning if you're solo), then have an attorney review the final version, especially for multi-member LLCs with meaningful assets or complex profit-sharing arrangements.

Member approval and nonwaivable limits
Keep the adopted operating agreement internally. Document member assent and any amendments under the agreement and Hawaii law. The default all-member amendment-consent rule is distinct from a universal requirement that every agreement take a signed written form. A written signed record is prudent evidence; it does not guarantee liability protection or bank approval.
