What an Agent for Service of Process Does
"Agent for service of process" is California's name for what most states call a registered agent — the role is identical. This agent is the official point of contact who receives lawsuits, subpoenas, and state notices on behalf of your LLC, then forwards them to you. Naming one is mandatory: you'll list your agent right on your Articles of Organization.
California sets clear requirements for who can serve:
- An individual residing in California with a physical street address in the state, or
- A registered corporate (1505) agent — a company that has filed a Section 1505 certificate with the Secretary of State.
- Not a P.O. box — the agent needs a real, physical California street address.
