California's LLC Naming Rules

California's naming requirements come down to three things: the right designator, distinguishability, and avoiding restricted words. Get all three right and your Articles of Organization won't get bounced.

  • Include a designator: "Limited Liability Company," "LLC," or "L.L.C." You may abbreviate "Limited" to "Ltd." and "Company" to "Co."
  • Be distinguishable from every existing California entity name of the same type, in the Secretary of State's records.
  • Don't mislead the public — no words implying you're a different entity type or a government agency.

What "distinguishable" really meansCalifornia ignores cosmetic differences. Punctuation, capitalization, spacing, singular vs. plural, "a/an/the," and "&" vs. "and" do not make your name distinguishable. "Apple Farm, LLC" won't clear if "Apple Farms LLC" already exists. You need a genuinely different word, not just a tweak.
