What the Articles of Organization Do
The Articles of Organization is the legal document that brings your Arizona LLC into existence. Once the ACC approves it, your LLC officially exists — you can get an EIN, open a business bank account, and start operating. Arizona uses the official Arizona Business Center (ABC) portal. The regular Articles fee remains $50, but the ACC currently lists online Articles filing at $85 because the online path includes the $35 expedite fee.

- File online through the Arizona Business Center (ABC), entering your LLC name, statutory agent, principal address, and management structure.
- Attach your Structure Attachment — Form L040 for manager-managed LLCs (must list any member owning 20%+), or the equivalent for member-managed LLCs.
- Pay the applicable total and submit. The regular filing fee is $50; the ACC lists online Articles filing at $85, including the $35 expedite fee. What's On the Form
- Your LLC name, including the required designator.
- Statutory agent name and Arizona street address.
- Principal address — unlike the agent's address, this doesn't need to be in Arizona at all.
- Management structure — member-managed or manager-managed, each requiring a specific Structure Attachment.
- Manager-managed LLC: list every manager and each member who owns 20% or more of the profits or capital.
- Member-managed LLC: list the name and address of every member, regardless of ownership percentage.
- Organizer: the organizer signs the Articles and may—but does not have to—be a member or manager.
- Effective date: use the filing date or choose a delayed effective date no more than 90 days after delivery to the ACC.
What happens after approvalYour LLC exists the moment Arizona approves the filing. There's no separate annual report to worry about — Arizona LLCs simply don't have one. But you'll receive a Notice of Publication with your approval letter, and unless your statutory agent is in Maricopa or Pima County, that publication step is required within 60 days.
