Why California Requires an Operating Agreement
California requires an operating agreement, including for a single-member LLC. Keep it with company records; the Secretary of State does not receive it as a filing. Section 17701.10 lets agreement terms govern covered matters and supplies statutory rules for gaps, within mandatory limits. Fiduciary-duty modifications require a written operating agreement with informed member consent; do not describe freedom of contract as unlimited or the agreement as a guarantee of personal-liability protection.
An operating agreement does three big jobs:
- Written terms document ownership, governance and decisions. They do not guarantee liability protection or replace proper company records and separate finances.
- Sets your own rules — without one, California's default LLC statutes govern, and those defaults may not match what you and your co-owners actually want.
- Prevents disputes — it spells out who decides what, how profits split, and what happens when someone wants out.
For one owner, document ownership, authority and succession. Maintain separate company finances and records. Bank requirements vary; an agreement does not guarantee protection from personal liability.

Operating Agreement Clause Builder
A solid California operating agreement covers these nine areas. Check each one off as you decide how it'll work for your LLC — the bar fills as your agreement takes shape:
How to Create Yours
- Start from a California-specific template rather than a generic one, so it references California's LLC statutes.
- Fill in your specifics using the nine clauses above — names, percentages, contributions, and rules.
- Document adoption and amendments under applicable law and the agreement. Recommend a dated written agreement and copies for members; distinguish that recommendation from statutory provisions that specifically require writing or consent.
- Keep it with your records — you don't file it, but your bank, partners, or a court may ask to see it.
Keep an accurate internal agreement and evidence of assent. It can document authority and ownership but does not guarantee liability protection, bank approval or a particular dispute outcome.
- ✓Check whether a template is included; customize it for your company and state law.
- ✓Optional formation assistance; confirm filing scope, service pricing and government fees before ordering.
- ✓Confirm registered-agent service availability, included periods and renewal charges.
- ✓Review address-use rules and privacy policies; a service does not remove all information from public filings.
