Washington LLC Initial & Annual Reports (2026)
Washington LLCs file two different reports: a one-time Initial Report within 120 days of formation, then an Annual Report every year after. Here's the correct fee for each — and why a lot of older content still gets the annual fee wrong.
The Initial Report and recurring Annual Report are separate filings. Reinstatement from administrative dissolution costs a $140 penalty plus $70 for each missed annual-report year. Apply within five years after the effective dissolution date and resolve the actual state-record requirements. The annual report remains $70, due the last day of the anniversary month, with a 180-day early window and $25 delinquency fee.

Two Reports, Not One
The Initial Report — one-time, within 120 days
Confirms your business address, registered agent, and members/managers shortly after formation. Free if you formed online (included automatically); filed separately if you formed by mail.
The Annual Report — every year after, $70
The same confirmation, repeated every year, due the last day of your LLC's anniversary month.
Some guides refer to the Initial Report as your "first Annual Report," which adds to the confusion — they're technically separate filings under Washington law, even though they serve a similar purpose.
The $60 vs. $70 Confusion
If you've seen $60 quoted anywhere for Washington's Annual Report, that number is outdated. The Washington Secretary of State's official fee schedule and WAC 434-112-085 both confirm the current fee is $70. Plenty of older guides and some third-party mailers that land in business owners' inboxes still quote the stale $60 figure — don't rely on those. Washington also passed SHB 2248 (Chapter 80, Laws of 2026, effective June 11, 2026), modernizing the underlying statutes (RCW 23.95.255 and RCW 23.95.260), though the published $70 fee itself did not change with that update.

How to File

The Corporations & Charities Filing System — the same portal you used to form your LLC.
Confirm your information and pay $70
Verify your address, registered agent, and members/managers; update anything that changed during the year.
File anytime in your 180-day early window, or by your due date
Filing early is a genuinely easy way to never worry about the deadline.
If You Miss Your Anniversary Month
$25 delinquency fee
Applied once the report goes unpaid past the due date.
120 days to administrative dissolution
Continued non-filing for 120 days risks the state administratively dissolving or revoking your LLC.
$140 reinstatement penalty plus missed reports
Reinstatement from administrative dissolution costs a $140 penalty plus $70 for each missed annual-report year. Apply within five years after the effective dissolution date and resolve the actual state-record requirements. The annual report remains $70, due the last day of the anniversary month, with a 180-day early window and $25 delinquency fee.
Ahmad Adil's Take: the fee confusion here is genuinely worth taking seriously — I've verified this against the state's own fee schedule, and $70 is correct for 2026, not the $60 you might see floating around in older content. Beyond that, Washington's 180-day early filing window is one of the most generous I've seen in this series — there's real freedom to just file the moment your window opens each year and never think about the deadline again. Given that your registered agent receives the reminder by default, keeping that address current is your best insurance against ever seeing the $25 late fee.
