Every D.C. LLC files a Biennial Report (Form BRA-25) with the DLCP, not a standard annual report. The fee is $300, the same whether filed online or by mail. Your first report is due April 1 of the year following your LLC's registration — regardless of whether you formed in January or December of that year. Every report after is due April 1, every two years. A $100 late fee applies (total $400) if filed after the deadline, with a grace period until September 1 before the DLCP can administratively dissolve your LLC.

How the 2-Year Cycle Works
This is worth understanding clearly, since it's genuinely different from the annual-report structure most other states use: D.C.'s Biennial Report is due every two years, not every year, always on April 1.
- First report: due April 1 of the year after your LLC's registration, regardless of whether you formed in January or December of the prior year.
- Example: an LLC approved anytime in 2026 owes its first Biennial Report by April 1, 2027 — then every two years after: 2029, 2031, and so on.
- Same fee for domestic and foreign LLCs: $300, whether your LLC formed in D.C. or elsewhere and registered to do business here.
- No separate annual report exists — D.C. deliberately uses this two-year structure instead of an annual one.

Failure to file the Biennial Report is the #1 reason D.C. LLCs get administratively dissolved. Reinstatement requires a separate application plus all outstanding fees and fines.
Ahmad Adil's Take: the two-year cycle is genuinely the thing I want every D.C. founder to internalize about this filing, because it cuts both ways. On one hand, you only think about it every other year — genuinely convenient. On the other, that same infrequency is exactly why it's the #1 reason D.C. LLCs get dissolved: two years is long enough to simply forget the deadline exists. My advice: the moment you form, put a calendar reminder for April 1 of next year, then set it to recur every 2 years after. Don't rely on memory alone for something that only comes around this rarely.
