New York Registered Agent — Step 2 of 9
The Secretary of State is the LLC’s required agent for service of process. You may appoint an additional private registered agent. Choose reliable document receipt and forwarding; publication follows the office county designated in the Articles, not the private agent’s address by itself.
A New York LLC designates the Secretary of State for service of process and supplies a forwarding address. An additional private registered agent is optional. For publication, use the office county designated in the Articles and the newspapers selected by that county’s clerk. Switching an agent’s address alone does not change that county or establish savings.

How Registered Agents Work in New York
In most states, you must name a registered agent — a person or company with a physical in-state address — to receive lawsuits and official mail. New York is different. When you file your Articles of Organization, you automatically designate the New York Secretary of State as your agent for service of process. You simply provide an address where the state forwards any legal documents it receives on your behalf.
That means a New York LLC is not required to hire a separate registered agent. You can, however, optionally appoint a commercial registered agent in addition to the Secretary of State — and for some founders that's a smart move.
Secretary of State (default)
- Designate the Secretary of State in the Articles and provide a forwarding address
- The state forwards legal mail to your address
- Your provided address becomes public record
- Fine for most single-state NY businesses
Optional commercial agent
- Check address-use and disclosure limits
- Reliably available during business hours
- Publication follows the Articles-designated office county
- Check current quote and renewal terms
Do You Need a Registered Agent in New York?
Select the arrangements you need. An optional private agent can provide contracted receipt and forwarding; a publication question requires a separate review of the Articles-designated office county.
Publication Follows the Articles’ Office County
The county clerk for the LLC’s office county designates the newspapers. Check the county stated in the Articles and ensure the publication notice matches the state record. Official New York filing and publication guidance.
An agent’s location alone does not move the LLC’s office county. Any lawful county strategy must be reflected in the Articles and applicable filings; an address switch or service order by itself does not establish a cheaper publication county.
Before paying for publication help: confirm the Articles-designated office county, the clerk-designated newspapers, notice details and actual newspaper/service quotes. Do not assume guaranteed savings from an Albany agent or any other agent location.
Can You Be Your Own Agent?
You can supply a reliable forwarding address for Secretary-of-State service without buying private-agent service. An additional registered-agent appointment has its own eligibility and service requirements. Keep those roles distinct and update contact details when they change.
- Free — no annual service fee.
- Your address goes on the public record.

- ✓Confirm registered-agent eligibility, coverage, included periods and renewal charges.
- ✓Review address-use rules and privacy policies; a service does not remove all information from public filings.
