Why New York Requires an Operating Agreement
Most states merely recommend an operating agreement. New York is one of the few that requires it. Under LLC Law §417, the members must adopt a written operating agreement — and it can be entered into before, at the time of, or within 90 days after filing your Articles of Organization.
The law is silent on a specific penalty for not having one, but skipping it is still a mistake.
