Montana LLC Naming Rules
Montana's naming rules come from Montana Code Annotated § 35-8-103. Your name needs to clear three tests before the Secretary of State will accept it — after your name, the next decision is choosing your registered agent:
- Include a designator — "Limited Liability Company," "Limited Company," "LLC," "L.L.C.," "LC," or "L.C." ("Limited" may be abbreviated "Ltd.")
- Be distinguishable from every other business name, reserved name, assumed business name, and trademark on file with the Secretary of State.
- Not imply a different entity type or purpose — no falsely suggesting you're a corporation, government agency, or licensed profession you're not authorized for.
Montana's distinguishability standard is stricter than people expectUnder Montana Rule 44.5.131, differences in punctuation, spacing, symbols, capitalization, or the designator alone do not make two names distinguishable. "Wheatgrass Soap Store LLC" conflicts with "Wheat-Grass Soap-Store, Inc." and "Wheat Grass Soap Store, L.L.C." — they're all treated as the same name. Homophones (words that sound alike but mean something different, like "berry" and "bury") can be distinguishable — but if an examiner thinks the names are confusingly similar, it can still be rejected.
