Maryland LLC Operating Agreement: Free Guide (2026)
Maryland doesn't require an operating agreement — but its LLC Act's default rules will govern your company if you don't write your own. Here's what to include, why your bank asks for it anyway, and a builder that generates your custom clause checklist.
A Maryland LLC operating agreement is not legally required and is never filed with SDAT — but every LLC should have one. It's the internal contract setting ownership percentages, profit splits, voting rules, and exit terms. Without it, the Maryland LLC Act's default rules govern, which may not match your actual deal. Banks routinely require a signed agreement to open a business account, and for single-member LLCs it's core evidence of entity separateness. Cost: $0 with a template.

Why You Need One (Even Though Maryland Doesn't Ask)
The operating agreement is the contract between your LLC's members — and between you and your future self. Maryland's LLC Act (Title 4A of the Corporations & Associations article) grants wide freedom of contract, which cuts both ways: write your rules and they govern; write nothing and the statutory defaults fill every gap on management, voting, and distributions, whether they match your intentions or not.
- Banks require it: expect to hand over a signed agreement, your stamped Articles, and your EIN letter to open the account.
- It hardens your liability shield: courts weighing veil-piercing claims look for evidence the LLC is a real, separate entity — a signed agreement is Exhibit A.
- It settles the hard questions early: profit splits, buyouts, a member's death or exit — answered while everyone still agrees.
- Maryland's charging-order protections work best with clean paperwork: documented internal governance strengthens every creditor-protection argument.
The default-rule trap: if your real deal — who invested what, who decides, who gets which share — differs from the statute's defaults and you never wrote it down, the statute wins. That's how handshake partnerships end up in Maryland courts arguing over what everyone "understood."

Checklist is educational. Multi-member LLCs with significant assets or unequal deals should have a Maryland business attorney review the final agreement.

Single-Member LLCs: Yes, Still
Your bank will likely ask for it, and — more important — a single-member LLC's liability shield is the thinnest, so a signed agreement documenting separateness is your best evidence if anyone attacks it. It's also where a solo founder names a successor. Thirty minutes, the same afternoon your same-day approval lands.
Keeping It Current
Revisit the agreement when ownership changes, a member's role shifts, or you elect S-Corp taxation. Amendments follow whatever procedure the agreement sets — which is why the amendment clause matters on day one.
Ahmad Adil's Take: Maryland's same-day formation creates a strange trap — the LLC exists before you've thought through how it runs. In Maine I tell founders to draft the agreement during the two-week mail wait; Maryland gives you no wait to fill. So make one: the afternoon Business Express approves you, before the bank appointment, sit down with the template and answer the hard questions on paper. Fast formation is a gift; an undocumented partnership moving at full speed is not.
