How to Start an LLC in Kentucky (2026 Guide)
Kentucky has the cheapest LLC filing fee in America — just $40 — and online filings are usually approved the same day. But Kentucky also has a tax almost no other state has: the LLET. This guide walks you through all 8 steps, the real costs, and the one deadline that can dissolve your LLC.
To start a Kentucky LLC, file Articles of Organization with the Kentucky Secretary of State for $40 — the lowest state filing fee in the country. File online through the Kentucky Business One Stop portal (onestop.ky.gov) and approval typically comes the same business day. After formation, you'll file a $15 Annual Report between January 1 and June 30 every year, and most LLCs owe Kentucky's Limited Liability Entity Tax (LLET) — minimum $175 per year.

Why Form an LLC in Kentucky?
If your business lives in Kentucky, form your LLC in Kentucky. It's that simple. Kentucky charges just $40 to file Articles of Organization — the lowest LLC filing fee of any state in the country — and the Secretary of State typically approves online filings the same business day through the Kentucky Business One Stop portal. Compare that to Massachusetts ($500) or even neighboring Tennessee ($300 minimum), and Kentucky looks like a bargain.
An LLC (Limited Liability Company) separates your personal assets — your house, car, and savings — from your business debts and lawsuits. It's the most popular structure for small businesses in Kentucky because you get real liability protection without the corporate formalities of board meetings and stock certificates. If you're still comparing structures, read our full guide on LLC vs Sole Proprietorship.
- Cheapest formation in America: $40 one-time filing fee — same price online, by mail, or in person.
- Fast approval: online filings are usually processed the same day they're received.
- Cheap maintenance: the Annual Report is only $15 per year.
- Simple sales tax: flat 6% statewide with zero local sales tax add-ons — one of the simplest regimes in the US.
- Falling income tax: Kentucky's flat individual rate dropped to 3.5% for 2026 (from 4% in 2025).
- Veteran perk: qualifying veteran-owned businesses organized after August 1, 2018 are exempt from the Articles of Organization filing fee.
The catch — Kentucky's LLET: Kentucky is one of the only states that layers a second tax on LLCs: the Limited Liability Entity Tax (LLET) under KRS 141.0401, with a $175 annual minimum for most LLCs. It applies even in years you make no profit. We break it down (and the pending small-business exemption) further below — budget for it from day one.

Most cost calculators ignore the LLET — which means they underestimate what a Kentucky LLC actually costs. This one models it. Pick your setup, slide your expected Kentucky gross receipts, and see your real first-year and 3-year totals.

Estimates exclude income tax, sales tax, and local occupational taxes.
The LLET: Kentucky's Tax Most Guides Skip
The Limited Liability Entity Tax (KRS 141.0401) is a Kentucky-specific tax on every entity that gives its owners liability protection — LLCs, S-Corps, C-Corps, LPs, and LLPs. Sole proprietorships and general partnerships are exempt, which means the LLET is effectively the price Kentucky charges for liability protection.
- The minimum is $175/year — and it applies even if your LLC loses money.
- At $3 million or less in Kentucky gross receipts or gross profits, you pay the flat $175 minimum.
- Above the thresholds, you pay the lesser of $0.095 per $100 of gross receipts or $0.75 per $100 of gross profits — never below $175.
- It's filed with your state tax return — single-member LLCs and pass-throughs file the applicable LLET forms (Form 725/PTE family) with the Kentucky Department of Revenue.
Pending change — flag for 2027: legislation has been repeatedly introduced to exempt small businesses from the LLET, most recently HB 451 (2026 session), which proposes exempting entities with under $100,000 in Kentucky gross receipts. As of July 2026 this is not enacted law — budget the $175 minimum until the Kentucky DOR confirms otherwise. We'll update this page the moment that changes.
Kentucky LLC Taxes at a Glance
By default, your Kentucky LLC is a pass-through: profits flow to your personal return, where Kentucky taxes them at a flat 3.5% for 2026 (down from 4% in 2025). On top of that you'll pay federal self-employment tax of 15.3% on 92.35% of net profit, plus the LLET at the entity level. If you sell taxable goods or services, Kentucky's sales tax is a flat 6% statewide with no local add-ons — but note that Kentucky taxes many services that other states don't.
One more layer: local occupational taxes. Louisville taxes net profits earned in the city at roughly 2.2%, Lexington at 2.25%, and many other cities and counties have their own rates. These aren't sales taxes — they're local income taxes on business activity, and where you operate determines what you owe. Once profits pass roughly $60–80K, an S-Corp election (Form 2553) may cut your self-employment tax — see our full Kentucky LLC tax guide for the math.
Ahmad Adil's Take: Kentucky is genuinely one of the best-value states to form in — $40 up front is unbeatable, and same-day approval means you can be legal by dinner. But I've watched founders get blindsided twice here: once by the LLET (they budgeted $15/yr and got a $175 tax bill), and once by the June 30 Annual Report deadline (miss it and reinstatement costs $100 plus every back report). Put both on your calendar the day your LLC is approved, and Kentucky will never surprise you again.
