Delaware LLC Business Licenses — Step 7 of 8

Here's where a lot of guides get it wrong. Delaware does have a $75 state business license — but it only applies if you're actually doing business in Delaware. Most people form a Delaware LLC while operating somewhere else entirely, and for them the Delaware license (and gross receipts tax) usually don't apply at all. Let's sort out exactly what you need — and what you don't.

Quick Answer

A Delaware state business license costs $75/year from the Division of Revenue — but it's only required if you conduct business within Delaware. If your LLC operates from another state and just uses Delaware as its legal home, you generally don't need it (and owe no Delaware gross receipts tax). You may still need a license in the state where you actually operate.

The Delaware Rule: Only If You Operate Here

Delaware's business-license question hinges on one word: operate. The state requires a $75 business license from the Division of Revenue only for businesses that actually conduct activity, make sales, or generate income within Delaware. Simply having your LLC legally organized in Delaware doesn't, by itself, mean you're "doing business" there.

That distinction matters enormously, because most Delaware LLCs are owned by people who live and work elsewhere — they chose Delaware for its legal system and privacy, not because they sell to Delaware customers. For them, the Delaware license usually doesn't apply.

Don't believe "every Delaware LLC needs a $75 license"Some guides state this flatly — it's misleading. The Delaware Division of Revenue ties the requirement to operating within the state. If you run a consulting business out of Texas through a Delaware LLC and never touch Delaware commercially, you generally don't need Delaware's license. You will, however, likely need a license wherever you do operate.

The Licenses That Can Apply

1. Delaware State Business License — $75/year

If you operate within Delaware, you need a state business license from the Division of Revenue. It costs $75 per year (some businesses can buy a multi-year license), and it expires December 31, so it renews annually. Different business activities can carry their own license categories, so confirm yours with the Division of Revenue's One Stop portal.

2. Gross Receipts Tax — instead of sales tax

Delaware is one of the rare no-sales-tax states — your customers never pay Delaware sales tax. Instead, businesses operating in Delaware pay a gross receipts tax on their Delaware-source revenue, typically in the range of about 0.0945% to 0.7468% depending on activity. A monthly or quarterly exclusion means smaller businesses often owe little or nothing. Again — this only applies to Delaware-source receipts.

3. Local & professional licenses

If you have a physical presence, your city or county may require a local permit. And regulated professions — contractors, healthcare, finance, cosmetology, liquor, and others — need the relevant professional or occupational license from the appropriate board, wherever you operate.

Don't forget your home stateThis is the licensing point people miss with Delaware LLCs. If you operate your business from, say, California or Florida, you'll likely need to register your Delaware LLC as a foreign LLC there and get whatever local business license that state requires. Forming in Delaware doesn't exempt you from your home state's rules — it can actually add a layer. Factor that in before assuming Delaware saves you paperwork.

Ahmad Adil's Take: The single most useful thing I can tell you here: a Delaware business license is about where you operate, not where you formed. If you actually do business in Delaware, budget the $75 license and look at gross receipts tax. If you don't — and most Delaware LLC owners don't — skip it, but turn your attention to your home state, because that's where your real licensing obligations live. The "Delaware has no sales tax" headline is true and great, but it only helps you if you're selling into Delaware in the first place.

Frequently Asked Questions

Delaware Business Licenses — FAQ

Does every Delaware LLC need a business license?
No. The Delaware $75 state business license is required only if you conduct business within Delaware — operations, sales, or income generated in-state. An LLC that's merely organized in Delaware but operates elsewhere generally doesn't need it.
How much is a Delaware business license?
The state business license is $75 per year from the Division of Revenue and expires December 31. Some businesses can purchase a multi-year license. Specific activities may fall under different license categories.
Does Delaware have sales tax?
No — Delaware has no sales tax. Instead, businesses operating in Delaware pay a gross receipts tax on Delaware-source revenue (roughly 0.0945%–0.7468% depending on activity), with an exclusion that often shields smaller amounts.
What is the Delaware gross receipts tax?
It's a tax on a business's total Delaware-source receipts, paid by the seller (not added to the customer's bill like sales tax). Rates vary by business type, and a monthly or quarterly exclusion applies. It only affects businesses with Delaware operations or sales.
I formed in Delaware but operate in another state — what do I need?
You'll typically register your Delaware LLC as a foreign LLC in your home state and follow that state's licensing rules. You usually won't need the Delaware license or owe Delaware gross receipts tax if you don't operate in Delaware — but your home state's requirements still apply.
Where do I get a Delaware business license?
From the Delaware Division of Revenue, through its One Stop online portal. You can register your business, obtain the license, and set up gross receipts tax accounts there if you operate in Delaware.
Do I need a professional license too?
If your work is regulated — contracting, healthcare, finance, cosmetology, liquor, and similar — you'll need the relevant professional or occupational license from the appropriate board, separate from any general business license, in whatever state you operate.
