Arkansas LLC Naming Rules
Arkansas's naming rules come from A.C.A. § 4-38-112. Your name needs to clear three tests before the Secretary of State will accept it:
- Include a designator — "Limited Liability Company," "Limited Company," "LLC," "L.L.C.," "LC," or "L.C." ("Limited" can shorten to "Ltd.," "Company" to "Co.")
- Be distinguishable from every other business name on file with the Secretary of State — including corporations, partnerships, and reserved names.
- Not use restricted words or another person's name — no "bank" or "trust" without agency approval, no "Corp"/"PLLC"-type entity words, and no name of a non-member individual.
Arkansas recently loosened its distinguishability standardUnder Act 256 of 2023, Arkansas moved from a stricter "confusingly similar" test to a "distinguishable" standard — the Secretary of State now disregards differences in entity suffixes (LLC vs. Inc.), articles ("the," "a"), the word "and" vs. "&," singular vs. plural, punctuation, and spacing when comparing names. In practice: don't rely on a plural, an ampersand, or a designator swap to make your name different from an existing one — none of those count.
