Every Alaska LLC files a Biennial Report every two years, due January 2, and costs $100 for domestic LLCs ($200 for foreign LLCs). Your cycle depends on whether you formed in an odd or even year — LLCs formed in odd years file in odd years, even-year LLCs file in even years. There's a one-month grace period; miss February 1 and a $37.50 late fee applies.

What the Biennial Report Is
Under AS 10.50.750 and AS 10.50.760, every Alaska LLC must file a Biennial Report to keep the state's records current — your registered agent, principal address, and member/manager details. Unlike most states that require this every single year, Alaska only asks once every two years, which is one of the state's real compliance advantages.

How to File
- File through the Division of Corporations' Biennial Report portal, using your entity number (found on your approved Articles of Organization or via a name search).
- Confirm your details — registered agent, principal office, and member/manager information — and update anything that's changed.
- Pay the fee and submit. Online filings are approved immediately; mail filings take 10–15 business days (longer during peak reporting periods).
- Never file both online and by mail for the same period — doing so creates a duplicate filing and may result in being charged twice.
Missing it entirely can cost your LLCIf you ignore the Biennial Report for six months past the deadline, the state can involuntarily dissolve your LLC. You can typically reinstate a domestic entity within two years of dissolution, but it means extra paperwork and fees you can easily avoid by filing on time.
