Kentucky Registered Agent: Requirements & Your Options (2026)

Every Kentucky LLC must name a registered agent on its Articles of Organization — and the agent must sign a written consent. Here's exactly who qualifies, what it costs, and how to decide whether to be your own agent or hire one.

Quick Answer

A Kentucky registered agent must have a physical Kentucky street address (no P.O. boxes) and be available during business hours to accept legal documents for your LLC. You can be your own agent for free, appoint another adult Kentucky resident, or hire a commercial service (typically $125/yr). The agent must consent in writing — Kentucky's Articles of Organization include a consent signature line. Changing agents later costs $10.

What a Kentucky Registered Agent Actually Does

Your registered agent is your LLC's official contact point for the legal system. If your business is sued, the lawsuit papers (service of process) go to your agent. State notices — including reminders about your June 30 Annual Report deadline — go there too. Kentucky requires one under KRS 275.115 so courts and the Commonwealth always have a reliable place to reach your business.

 • Accepts service of process — lawsuits, subpoenas, garnishments.
 • Receives official state mail — annual report notices, tax documents, compliance warnings.
 • Keeps your LLC reachable — a missing agent is grounds for administrative dissolution.

Kentucky's Requirements (KRS 275.115 & 14A.4-010)

 • Physical Kentucky street address — the registered office cannot be a P.O. Box.
 • Available during normal business hours to accept deliveries in person.
 • Individual or business: a Kentucky resident 18+, or a company authorized to do business in Kentucky.
 • Written consent required: Kentucky's Articles of Organization include a line where the agent signs consent to serve — a filing without it gets rejected.
 • Public record: the agent's name and address are searchable by anyone in the SOS database, forever.

The home-address trap: if you're your own agent and run the business from home, your home address becomes permanently public — scraped by marketers, visible to anyone who searches your name. And if you're ever served with a lawsuit, it happens at your front door, possibly in front of family or neighbors.

Being your own agent works fine

Cost math: DIY = $0. Commercial service ≈ $125/yr = $375 over 3 years (or $250 if year 1 is free with formation through Northwest).

Changing Your Agent Later ($10)

File a Statement of Change of Registered Agent and/or Registered Office with the Kentucky Secretary of State and pay $10. The new agent must consent. Never let an agent resignation go unaddressed — an LLC without a registered agent on record is on the path to administrative dissolution.

Ahmad Adil's Take: In most states I tell home-based founders the agent service is worth it purely for privacy. In Kentucky the math is even easier: forming through Northwest costs $39 and includes the first agent year free — so the privacy protection effectively costs you $39 in year one. If your business address is your kitchen table, that's the cheapest peace of mind you'll ever buy.

Frequently Asked Questions

Kentucky LLC — FAQ

Do I need a registered agent for my Kentucky LLC?
Yes. Every Kentucky LLC must continuously maintain a registered agent and registered office under KRS 275.115. The agent is named on your Articles of Organization and must sign a written consent to serve. An LLC without an agent on record can be administratively dissolved.
Can I be my own registered agent in Kentucky?
Yes, if you’re 18 or older with a physical Kentucky street address (not a P.O. Box) and you’re available there during normal business hours. The trade-off: your name and address become permanently searchable in the Secretary of State’s public database.
How much does a Kentucky registered agent cost?
Being your own agent is free. Commercial services typically run about $125 per year — Northwest charges $125/yr flat and includes the first year free when they form your LLC for $39 plus the $40 state fee.
Can a Kentucky registered agent use a P.O. Box?
No. The registered office must be a physical street address in Kentucky where the agent can accept hand-delivered legal documents during business hours. P.O. Boxes are explicitly insufficient.
How do I change my Kentucky registered agent?
File a Statement of Change of Registered Agent and/or Registered Office with the Kentucky Secretary of State and pay the $10 fee. The new agent must consent to the appointment.
What happens if my LLC doesn’t have a registered agent?
Your LLC falls out of good standing and becomes vulnerable to administrative dissolution. Worse, if you’re sued and can’t be served, a court can allow the case to proceed without you — leading to default judgments you never saw coming.
Does the registered agent have to be an owner of the LLC?
No. The agent can be any qualifying Kentucky adult or authorized company — an owner, an employee, your attorney, or a commercial service. The only requirements are the Kentucky street address, business-hours availability, and written consent.
