Why Bother If It's Not Required?
Section 7-80-108 lets agreement terms govern within statutory limits; the LLC Act fills gaps. Terms cannot eliminate good faith and fair dealing, unreasonably restrict statutory information rights, or burden outsiders without consent. Fiduciary duties may be restricted or eliminated only within the manifestly-unreasonable limit.
- Bank documents: ask the institution what ownership and authority records it needs; it may request a written operating agreement.
- Written terms document ownership, governance and decisions. They do not guarantee liability protection or replace proper company records and separate finances.
- Prevents disputes — with multiple members, having terms in writing avoids disagreements over profit splits or decision-making down the road.

- Needed even as a single-member LLC — it still separates your business and personal affairs, and many banks will ask for one regardless of ownership structure.
- Can be updated any time — amend it as your business grows or circumstances change, as long as all members agree.

Keep assent and statutory writing requirements distinct
A signed written record is prudent evidence. Colorado permits agreements without writing subject to statutory writing requirements and the agreement’s terms; varying a statutory writing requirement requires the writing described in section 7-80-108(3). Keep the agreement internally and review mandatory limitations before use.
