New York Articles of Organization — Step 3 of 9
File Form DOS-1336 with the New York Department of State for $200. The Articles designate the LLC’s office county, which determines the county clerk’s newspaper designation for publication. A registered-agent address alone does not change that county. Prepare the required service-of-process and organizer/filer details and save the filing receipt.
File Form DOS-1336 for $200. Supply the LLC name, Articles-designated office county, Secretary-of-State service-of-process designation and forwarding address, and required organizer/filer details. Members are not listed on the standard Articles form; that does not guarantee ownership secrecy under every law or filing. Standard processing changes; optional expedited fees are $25/24hours, $75/same-day and $150/2hours.

What the Articles of Organization Do
The Articles of Organization are the document that brings your LLC into legal existence. Once the New York Department of State accepts your filing, you'll receive an official filing receipt — proof your LLC exists, which you'll need for a bank account, the publication step, and licenses. In New York the form is DOS-1336 and the fee is $200.
New York keeps the form short. Unlike many states, it does not ask you to list your members or managers, so your ownership stays off the public record.
What Information You'll Provide
- LLC name — exactly as you'll use it, including the designator, matching your name search.
- Office county: the county designated in the Articles controls which county clerk designates the publication newspapers. A private agent’s location alone does not establish a different publication county.
- Service of process address — the address where the Secretary of State (your default agent) forwards legal mail.
- Organizer signature — the organizer (any person or company, member or not) signs and prints their name.
- Filer name & address — where the Department of State sends your filing receipt.
Check the Articles-designated office county: use its clerk-designated newspapers and confirm actual quotes. Any lawful county strategy must be reflected in the Articles and applicable filings. Merely changing an agent’s address does not change the publication county. Official filing/publication guidance.
