Wisconsin LLC Annual Report: The Quarterly System
Wisconsin's Annual Report isn't due on one fixed date for everyone — it's due by the last day of whichever calendar quarter contains your LLC's formation anniversary. Here's exactly how that works and a tool that finds your specific deadline.
Every Wisconsin LLC files an Annual Report with the Department of Financial Institutions (DFI) — not a Secretary of State. The fee is $25 online ($40 by mail). The due date is the last day of the calendar quarter containing your LLC's formation anniversary: March 31 (Q1: Jan–Mar), June 30 (Q2: Apr–Jun), September 30 (Q3: Jul–Sep), or December 31 (Q4: Oct–Dec). Foreign LLCs pay more ($65 online / $80 by mail) and always file by March 31 regardless of formation date. There's no monetary late fee, but your LLC immediately loses good standing, and continued non-filing for about a year risks administrative dissolution. No extensions are granted.

How the Quarterly System Works
Wisconsin doesn't assign every LLC the same due date, or even the same anniversary month — it assigns a calendar quarter based on when your Articles of Organization took effect:
| Formation Quarter | Formed In | Annual Report Due |
|---|---|---|
| Q1 | January, February, March | March 31 |
| Q2 | April, May, June | June 30 |
| Q3 | July, August, September | September 30 |
| Q4 | October, November, December | December 31 |
Your first Annual Report is due the year after formation — an LLC approved anytime in July 2026 (Q3) owes its first report by September 30, 2027, then every September 30 after that. You can file anytime within your quarter, not just on the last day.

How to File
Look up your entity with DFI's Annual Report ID Lookup
Find your specific due date and entity ID — bookmark this the day your LLC is approved.
Confirm your information and pay $25 online
Verify your registered agent, address, and member/manager details; update anything that changed.
File anytime within your quarter
No need to wait until the last day — file as soon as your quarter opens for one less thing to track.
If You Miss Your Quarter-End Deadline
No monetary late fee
Genuinely one of the more forgiving penalty structures in this series — there's no automatic dollar penalty for filing late.
Immediate loss of good standing
Your LLC is marked delinquent right away, which can block financing, licensing, and contract enforcement even without a monetary fee.
Administrative dissolution after about a year
Continued non-filing for roughly a year risks the DFI administratively dissolving your LLC. Catching up 1–2 years late is possible by filing the missing reports and paying the associated fees.
Bookmark This Tool
Do this the same day your LLC is approved: bookmark the DFI's Annual Report ID Lookup tool. Since Wisconsin's system doesn't map cleanly to memorable dates like "April 15" or "the end of the year," this lookup tool is genuinely the most reliable way to confirm your exact deadline each year rather than relying on memory or a rough quarter estimate.
Ahmad Adil's Take: once you understand it, Wisconsin's quarterly system is actually more forgiving than a lot of states — you get a real window within your quarter to file, there's no automatic dollar penalty for being late, and the DFI provides a genuinely useful lookup tool to confirm your exact date. The risk isn't the system itself; it's simply forgetting your specific quarter because it doesn't map to a date everyone already has memorized. Bookmark the lookup tool on day one, and this becomes one of the easier annual obligations in this entire 50-state series to stay on top of.
