Virginia Registered Agent: A Real Restriction (2026)
Virginia has several registered-agent eligibility paths. Check residency, the precise individual role or qualifying entity category, and the required office and service arrangements before filing.
Virginia individual agents must be Virginia residents who qualify through a listed member/manager or related-entity role, Virginia State Bar membership, or the written-designated officer/employee route described below. Certain authorized corporations, LLCs and registered LLPs may also serve, with additional statutory arrangements. A paid provider is optional; residency or an address alone does not settle eligibility.

What a Virginia Registered Agent Does
Your registered agent is the official recipient of lawsuits (service of process) and state correspondence for your LLC. Virginia requires one continuously, at a physical in-state street address, from formation onward.
- Accepts service of process — lawsuits, subpoenas, official legal mail, in person during business hours.
- Receives SCC notices — including anything related to your Annual Registration Fee.
- Appears on the public record — the registered agent name and address are searchable by anyone, on the state record.
Virginia Registered-Agent Eligibility Paths
Virginia Code §13.1-1015 lists the following paths. Check every condition, including the office and service arrangements.
A Virginia resident who is a member or manager of the LLC
You (if you're a member or manager), or another Virginia-resident member/manager — the key requirement is genuine involvement in the LLC's ownership or management, not just residency.
Virginia-resident individuals in specified related-entity roles
The roles are: member/manager of an LLC that is a member/manager; officer/director of a corporation that is a member/manager; general partner of a general/limited partnership that is a member/manager; or trustee of a trust that is a member/manager. The individual’s business office must match the registered office.
A Virginia-resident Virginia State Bar member
Virginia State Bar membership is an individual eligibility path when the person is also a Virginia resident and the business office is identical with the registered office. Ownership in the LLC is not required for that path.
Specified authorized entities, with additional service arrangements
Domestic or foreign stock/nonstock corporations, LLCs and registered LLPs authorized to transact business in Virginia may serve, with a matching business/registered office. The agent cannot be its own registered agent under this entity path. It must designate natural persons in a written, notarized instrument and continuously maintain at least one at the office as the statute requires.
Written-designated officer/employee path: a Virginia-resident employee of the LLC, other than a member or manager, may qualify as an officer designated by the LLC in a written instrument to receive process. That agent or a natural person designated by the agent must be available at the registered office during regular business hours. Follow the statute’s instrument/return requirements. A friend’s residency alone is insufficient, but lack of ownership does not automatically rule out this employee path.

Practical choice: check all statutory paths before paying for a service. A Virginia-resident designated employee can qualify without ownership when the written designation and availability requirements are met. A resident attorney, another eligible individual or a qualifying entity may also be an option. Keep the appointment current when roles or addresses change.
