Why You Need One (Even Though Michigan Doesn't Ask)
MCL450.4401 defaults to member management unless the Articles specify managers; the agreement can restrict or enlarge member management rights. The Articles take precedence over conflicting agreement terms (MCL450.4214). Statutory limits still apply.
- Bank documents: ask the institution what ownership and authority records it needs; it may request a written operating agreement.
- Written terms document ownership, governance and decisions. They do not guarantee liability protection or replace proper company records and separate finances.
- It settles the hard questions early: profit splits, buyouts, a member's death or exit — answered while everyone still agrees.
- It controls the Flow-Through Entity Tax decision: if you later elect Michigan's FTE tax, your agreement should address how entity-level tax and distributions interact.

Profit & loss allocation
How profits split — by percentage or a documented custom formula — and when distributions happen.
Management & voting
Member- vs manager-managed, decision thresholds, and any items requiring unanimity.

Plus: tax classification and representative, banking authority, indemnification, amendment procedure, and severability. Start from the free template in our national operating agreement guide.
Single-Member LLCs: Yes, Still
For one owner, document ownership, authority and succession. Maintain separate company finances and records. Bank requirements vary; an agreement does not guarantee protection from personal liability.
Keeping It Current
Revisit the agreement when ownership changes, a member's role shifts, or you elect S-Corp taxation or Michigan's Flow-Through Entity Tax. Amendments follow whatever procedure the agreement sets — which is why the amendment clause matters on day one.
Ahmad Adil’s Take: agree on money, control and exits before disputes arise. Customize the free national templates, document approvals, and seek professional review for complex arrangements. Bank requirements vary; an agreement does not guarantee liability protection.
