How to Dissolve an LLC in Maryland
To close a domestic Maryland LLC, first trigger dissolution under the articles, operating agreement, or Maryland law, then complete the required winding-up steps and file Articles of Cancellation with the State Department of Assessments and Taxation. The current filing fee is $0 for non-expedited processing or $50 for expedited processing.
A Maryland LLC closes by filing Articles of Cancellation. The current fee is $0 non-expedited / $50 expedited. Maryland law treats dissolution and termination as separate events: the LLC dissolves first, then is terminated when SDAT accepts the Articles of Cancellation or on the permitted future effective date. The standard voluntary dissolution event is unanimous consent of the members.

Maryland Dissolution vs. Termination
Maryland expressly distinguishes dissolution from termination. Under §4A-901, dissolution is a change in the relationship among the members; it does not itself terminate the LLC. The LLC continues until it is terminated under §4A-908 by filing Articles of Cancellation.
Before You File: Approve the Dissolution
Check the articles of organization and operating agreement first. Maryland §4A-902 says dissolution occurs at an event specified in those governing documents, by unanimous consent of the members, by judicial dissolution, or in certain no-member situations. Keep the relevant approval or triggering-event record with the LLC's books.
Wind Up the Maryland LLC
After dissolution, complete the practical closeout work: collect receivables, resolve contracts, identify property, pay or provide for debts and obligations, distribute remaining assets as permitted, and preserve final accounting records. Maryland law allows the company to continue for these liquidation and winding-up purposes even after Articles of Cancellation are filed.
File Maryland Articles of Cancellation
The correct domestic LLC filing is Articles of Cancellation. SDAT's current form lists a $0 filing fee for non-expedited processing and a $50 expedited-processing fee. Maryland Business Express also provides an online filing route.
The filing requires the LLC's exact name, principal-office address, resident-agent information, the names and addresses of the members designated to wind up the company—or all members if none were designated—and the required termination and creditor statements.
The Articles must be signed by an adult individual authorized by the members. The resident agent listed in the filing must also sign.
Maryland's Creditor-Notice Statement
The Articles of Cancellation must address known creditors. The current SDAT form requires either a statement that the LLC has no known creditors, or the date on which notice of termination was sent to known creditors by registered mail, postage prepaid, return receipt requested.
If notice was sent, the current instructions require that mailing date to be at least 19 days before the Articles of Cancellation are filed. This is a specific filing requirement and should not be replaced with a generic creditor-publication rule.
Choose the Effective Date Carefully
Under §4A-909, the Articles may make termination effective upon filing or on a specified future date no later than 30 days after filing. Section 4A-908 provides that the LLC is terminated on the later of SDAT's acceptance date or the stated effective date.
Close Maryland Tax Accounts Separately
SDAT cancellation does not automatically close Maryland Comptroller tax accounts. Maryland's Comptroller provides separate closure procedures for withholding and sales-and-use tax accounts.
A withholding account can be closed by contacting the Comptroller or filing Form MW506FR. A sales-and-use tax account can be closed by contacting the Comptroller or filing Form 202FR with the final sales-and-use tax return. Unemployment insurance accounts are closed separately through the Maryland Department of Labor.
Close only the accounts the LLC actually has. Maryland tax and employer-account procedures differ by registration type.
What Happens After Maryland Files the Cancellation
The LLC is terminated when the Articles of Cancellation are accepted for record or on the later stated effective date. Even after filing, Maryland law preserves the entity for limited purposes such as paying debts, satisfying obligations, collecting and distributing assets, and completing other liquidation and winding-up acts.
Keep the accepted Articles of Cancellation, creditor-notice records, final tax-account closure documents and final accounting records with the company's permanent files.
Close the Remaining Business Accounts
- Maryland Comptroller: close applicable withholding, sales/use and other tax accounts using the required final-return process.
- Maryland Labor: close unemployment insurance accounts separately if the LLC had employees.
- Licenses and permits: cancel state, county, local and professional registrations separately where applicable.
- EIN: use LLC School's Cancel or Close an EIN guide for the separate federal closeout process.
- Foreign registrations: withdraw separately in other states where the Maryland LLC qualified to do business.
Common Maryland LLC Cancellation Mistakes
- Using the corporation Articles of Dissolution instead of LLC Articles of Cancellation.
- Treating dissolution and termination as the same legal event.
- Using a majority-vote rule instead of Maryland's unanimous-consent dissolution event when that statutory route applies.
- Missing the 19-day creditor-notice timing requirement when known-creditor notice is used.
- Assuming SDAT cancellation automatically closes Maryland tax or unemployment accounts.
