What Happens If You Miss Your Anniversary
Day 1 late: not in good standing
The state marks your LLC "not in good standing" — visible to banks, lenders, and anyone who checks the public record.
Years 1–3: the clock runs
You can cure at any time by filing the overdue report(s). But each missed year stacks another $30 obligation.
Three consecutive unfiled years: revocation
The state revokes your LLC. Liability protection for new business is compromised, your name becomes vulnerable, and undoing it costs more than three on-time reports ever would.
Reinstating a Revoked Louisiana LLC
File Articles of Reinstatement with the Secretary of State along with $30 for the current annual report plus $30 for each unfiled report between your last filing and reinstatement (per the SOS reinstatement instructions), plus the reinstatement filing itself. Ahmad Adil's Take: anniversary-date deadlines are sneakier than fixed ones. June 30 in Kentucky is famous; "the random Tuesday in October when your LLC happened to be approved" is famous to nobody. And since Louisiana's reminders are email-only, a changed email address silently severs your last safety line.
