How to Dissolve an LLC in Kansas
To close a domestic Kansas LLC, first dissolve and wind up the company, then file Form KC, Certificate of Cancellation, with the Kansas Secretary of State. Under Kansas's current 2026 fee regulation, the filing fee is $5 online or $5 on paper. The LLC must be in good standing before the cancellation can be filed.

Kansas Dissolution vs. Cancellation
Kansas separates the LLC's dissolution and winding up from its final state cancellation. Under K.S.A. 17-7675, the articles of organization are canceled after the LLC is dissolved and winding up is complete, and the company files a Certificate of Cancellation with the Secretary of State to accomplish that cancellation.
Before You File: Approve the Dissolution
Check the operating agreement first. Under K.S.A. 17-76,116, the LLC can dissolve at a time or event specified in the operating agreement. Unless the operating agreement provides otherwise, the current statutory member-vote rule is approval by members owning two-thirds or more of the then-current percentage or other interest in the profits of the LLC, subject to the statute's special historical rule for certain LLCs originally effective on or before June 30, 2019.
Do not blindly apply the 2/3 rule to every Kansas LLC. The operating agreement controls first, and the statute contains a separate rule for certain LLCs formed before July 1, 2019.
Wind Up the Kansas LLC
After dissolution, the people authorized to wind up may settle and close the LLC's business, dispose of property, prosecute or defend proceedings, discharge or make reasonable provision for liabilities, and distribute remaining assets. Kansas keeps the LLC in existence for these winding-up purposes until the Certificate of Cancellation is filed.
Make Sure the LLC Is Eligible to Close
The Kansas Secretary of State currently requires a business seeking cancellation, dissolution or withdrawal to be in good standing. If the business is delinquent, it must file the required Information Report before the closing document can be filed. If the business is forfeited, it must first reinstate.
Forfeiture is not the same as a voluntary cancellation. Kansas allows the owner to choose whether to file closing documents or allow forfeiture, but the formal KC cancellation route requires the status issues above to be resolved first.
File Kansas Form KC — Certificate of Cancellation
The correct domestic LLC filing is KC — Certificate of Cancellation. The current form asks for the Kansas business entity ID number, exact legal LLC name, reason for cancellation, and the signature of at least one authorized person.
The Secretary of State's current Close a Business page provides an online filing route and also links the paper KC form.
Important 2026 Kansas Fee Change
The Secretary of State’s current KC instructions list a total Certificate of Cancellation filing fee of $30 online or $35 on paper. Paper filings involving designated series add $20 per series; series cannot be filed online.
The February 27, 2026 regulations say their service and technology charges are in addition to other statutory or regulatory fees. A single $5 line is not the total cancellation cost. Use the KC instructions and confirm the charge in the official filing workflow.
Close Kansas Tax Accounts Separately
The Secretary of State cancellation does not automatically close Kansas Department of Revenue accounts. KDOR provides a Notice of Business Closure (CR-108) and other account-change procedures. For sales and compensating use tax, Kansas instructs a business that closes to cancel its registration. For withholding, the business must cancel its Kansas Tax Account Number and file all required final withholding forms.
Kansas withholding guidance says required final forms are due within 30 days after the end of the month in which the business closed or wages ceased. Use that deadline only if the LLC actually had a Kansas withholding account.
What Happens After Kansas Files the Cancellation
Once the Certificate of Cancellation is filed following dissolution and completion of winding up, the LLC's articles of organization are canceled. Keep the accepted cancellation and final tax/account records with the company's permanent records.
Close the Remaining Business Accounts
- Kansas Department of Revenue: cancel applicable sales/use, withholding or other accounts and file required final returns.
- Licenses and permits: cancel state, local and professional registrations separately where required.
- EIN: use LLC School's Cancel or Close an EIN guide for the federal account process.
- Foreign registrations: withdraw separately in other states where the Kansas LLC qualified to do business.
Common Kansas LLC Cancellation Mistakes
- Treating one $5 regulatory charge as the full cancellation fee instead of budgeting the total shown in the official KC instructions.
- Trying to cancel while delinquent or forfeited without first correcting the entity's status.
- Applying the 2/3 member rule without first checking the operating agreement and the statute's pre-July-2019 rule.
- Filing the Certificate of Cancellation before winding up is complete.
- Assuming Secretary of State cancellation automatically closes Kansas tax accounts.
