What Are the Articles of Organization?

The Articles of Organization (sometimes called a Certificate of Formation in other states) is the founding legal document of your LLC. When the Florida Division of Corporations receives, reviews, and approves it, your LLC legally comes into existence as a separate legal entity with its own rights, obligations, and liability protection.

Florida Statute §605.0201 and Sunbiz govern the filing. Required charges total $125. Follow the current instructions and queue for the chosen online or paper method; formation and the applicable effective date depend on acceptance of the filing.

Confirm correction and payment instructionsThe $125 required filing amount should be confirmed before submission. If Sunbiz returns the filing for correction, follow the payment and resubmission instructions in the rejection notice rather than assuming whether another payment is required.

What You Need Before You File

Gather these four things before you open the Sunbiz filing form — the system times out if you're inactive too long, and you can't save a partially completed form:

  • Your confirmed LLC name — exactly as you searched and confirmed available on Sunbiz, including the designator (e.g., "Oak Street Consulting LLC").
  • Your Florida registered agent's name and street address — the exact name and Florida street address your agent will use (if using Northwest, they provide this when you sign up).
  • Your LLC's principal office address — a physical Florida or out-of-state street address for your LLC's main place of business. No P.O. boxes.
  • A credit card — for the $125 filing fee. Sunbiz accepts Visa, MasterCard, American Express, and Discover. Mail-in filings accept check or money order.

Every Field on the Florida Articles of Organization

The Sunbiz online form has several sections. Here's exactly what each field means and what to enter:

1

Effective Date

Optional

The default effective date follows receipt and filing by the Division. An acceptable alternative may be no more than 5 business days before or 90 days after receipt. A prior date does not automatically shield earlier activity or transfer earlier transactions to the LLC. Confirm the actual effective date shown in the accepted record.

Leave this blank unless you have a specific reason. Choosing a prior effective date does not retroactively protect earlier activity or make the LLC responsible for transactions completed before it legally existed. Future-dating is useful if you want your LLC to start at the beginning of a tax year.
2

LLC Name

Required

Enter your complete LLC name exactly as you want it registered, including the designator (LLC, L.L.C., or Limited Liability Company). Florida accepts any capitalization style. Avoid unnecessary punctuation — ampersands, special characters, and symbols can cause processing issues with banks and payment processors later.

Double-check spelling before submitting. Correcting a name error after approval requires filing an Articles of Amendment at additional cost.
3

Principal Office Address

Required

The physical address where your LLC's main business is located. This can be your home, a commercial office, or a coworking space — but it must be a real street address (no P.O. boxes). It doesn't have to be a Florida address; out-of-state principal offices are allowed, but your registered agent must still have a Florida address. This address becomes public on Sunbiz.

4

Mailing Address

Optional

If your LLC receives mail at a different address than the principal office, enter it here. This is the only field on the form where a P.O. box is acceptable. If your mailing address is the same as your principal office, leave this blank.

5

Registered Agent Name & Address

Required

Enter your registered agent's full legal name (individual or company) and their Florida street address exactly as provided. If you're using Northwest, they give you the specific name format and address to use — copy it precisely, because even minor variations (e.g., "LLC" vs "L.L.C." in the agent company name) can cause processing delays. The agent must then electronically sign or type their name in the consent field to accept the appointment.

If you're being your own registered agent, enter your own name and Florida street address here, then sign the consent field yourself.
6

Optional Managers / Authorized Representatives

Optional — check current instructions

Sunbiz’s current instructions make manager/authorized-representative names and street addresses optional. Use MGR for a manager or AR for an authorized representative and follow the instruction not to list members. A bank or workers’ compensation process may request appropriate public-record information, but that does not make this section universally mandatory. Current Sunbiz instructions.

Use the current optional MGR/AR instructions. Do not list members contrary to Sunbiz’s instructions. Confirm any bank-specific documentation separately.
7

Authorized Signature

Required

At least one person acting as an authorized representative must sign. Online signatures are typed names with legal effect; obtain permission before entering anyone else’s signature. The registered agent’s separate acceptance is also required.

8

Certified Copy & Certificate of Status

Optional

At checkout, Sunbiz offers two optional add-ons. A Certified Copy ($30) is a certified stamped copy of your filed Articles — some banks, lenders, and foreign LLC registrations require one. A Certificate of Status ($5) certifies that your LLC is active and in good standing — useful for contracts and licensing applications. Neither is required to form your LLC.

Ahmad Adil's Take on the Certified CopySkip it at filing for now — you can download a free copy of your filed Articles from Sunbiz anytime. Only pay for the $30 certified copy if a specific bank, lender, or government agency explicitly asks for a "certified" copy. Most business bank accounts only need a regular copy, which you can download for free.

Processing Time and What Happens After Approval

Online and paper submissions have different queues. Compare the current Sunbiz processing-dates information and payment instructions before selecting a method. Submission, payment and approval are distinct steps; no fixed approval time is guaranteed.

You can check real-time processing progress on the Florida Division of Corporations Document Processing Dates page at dos.fl.gov before filing, to see what submission dates Sunbiz is currently reviewing.

Once approved, you'll receive email confirmation containing your LLC's name, assigned Document Number, filed date, and effective date. Sunbiz does not send U.S. mail confirmation for online filings. You can also download a free image of your filed Articles from Sunbiz at any time after approval — no need to pay for the certified copy just to have a record.

Save your Document NumberYour Florida LLC's Document Number appears in your approval email and on Sunbiz. You'll need it to file your Annual Reports, make changes, and request certificates later. Save it somewhere safe.

Common Reasons Florida Articles Are Rejected

Sunbiz will reject your filing if anything fails their review. Rejections don't refund your $125 — you correct and resubmit using the tracking number and PIN from the rejection email. The most common causes:

  • Name not available — another entity has the same or confusingly similar name. Run the Sunbiz name search (Step 1) before filing.
  • Missing or wrong designator — the name doesn't end in LLC, L.L.C., or Limited Liability Company.
  • Registered agent consent missing — the agent didn't type their name in the consent field, or the agent's address is a P.O. box.
  • P.O. box as principal office — the principal office address field requires a physical street address.
  • Restricted word without authorization — the name contains a professional or government word that requires pre-approval.
  • Registered agent name mismatch — the agent's name in the form doesn't exactly match their registered name (common with service providers).

If your filing is rejectedSunbiz emails a rejection notice explaining the issue and the available correction steps. Follow the tracking-number, PIN, resubmission, and payment instructions in that notice; do not assume that every correction requires a new fee or that every resubmission is automatically free.

Frequently Asked Questions

Articles of Organization Florida — FAQs

How much does it cost to file Florida Articles of Organization?
The required state filing amount is $125. Online filers pay during submission; mail filers follow the payment instructions on the official form. If Sunbiz returns a filing for correction, follow the payment directions in the rejection notice. Optional add-ons include a Certified Copy ($30) and Certificate of Status ($5), but neither is required. After approval, you can download a free copy of your filed Articles from Sunbiz at any time.
How long does it take to get a Florida LLC approved?
Processing is operational and can change. Check Sunbiz’s current processing-dates information for the selected online or paper route, allow delivery time for mailed filings, and follow any correction notice. Payment alone does not establish approval.
Can I file the Articles of Organization by mail?
Yes. Use the current paper form and its mailing/payment instructions. Compare the online and mail queues and delivery times before choosing a route. Online convenience does not mean it is always the right method or that approval is guaranteed.
What is an LLC's Document Number in Florida?
Every Florida LLC is assigned a unique Document Number (also called an LLC number) when its Articles are approved. You'll find it in your email confirmation and on your Sunbiz listing. You'll need it to file Annual Reports, request certificates, change your registered agent, and perform most official state filings. Save it — you'll use it repeatedly for the life of your LLC.
Do I need to list members or managers on the Florida Articles of Organization?
No. Current Sunbiz instructions make manager/authorized-representative information optional, use MGR/AR and say not to list members. A bank or workers’ compensation process may request appropriate public-record information. An operating agreement records internal ownership; it does not eliminate other required disclosures.
What happens if Florida rejects my Articles of Organization?
Sunbiz emails a rejection notice identifying the issue and the available correction steps. Use the tracking information supplied in that notice, correct the problem, and follow its current payment instructions before resubmitting. Common fixes include changing the LLC name, correcting the registered agent's address, or adding a missing designator. Processing follows Sunbiz's current queue.
Can I back-date or future-date my Florida LLC?
Florida permits an acceptable effective date no more than 5 business days before or 90 days after receipt of the document. Otherwise, the default follows receipt and filing. A prior date does not automatically protect earlier activity or make earlier transactions LLC obligations. Check the accepted filing’s effective date before acting.
