How to Dissolve an LLC in Mississippi
A Mississippi LLC dissolves under the Revised Mississippi Limited Liability Company Act, then begins winding up. At the commencement of winding up, file the Certificate of Dissolution of MS LLC with the Mississippi Secretary of State. The current filing fee is $50, and the Secretary’s current filing portal states that business documents may only be filed through its online filing system.
For the standard voluntary member-consent route, Mississippi law dissolves the LLC upon consent of all members, unless the certificate of formation or operating agreement provides a lesser number. The company must then wind up, and § 79-29-205 requires the Certificate of Dissolution to be filed when winding up begins. Current SOS fee: $50. A future effective date may be used, but it cannot be later than the 90th day after filing.

What Dissolving a Mississippi LLC Means
Mississippi law separates the dissolution event from the winding-up process. Under Miss. Code § 79-29-801, a domestic LLC is dissolved when the first applicable statutory or governing-document event occurs. Under § 79-29-831, the dissolved LLC continues its legal existence, but it may carry on only business necessary or appropriate to wind up and liquidate its affairs.
Domestic filing name: Mississippi’s current Business Services fee schedule identifies the filing as the Certificate of Dissolution of MS LLC. Do not use the foreign-LLC Certificate of Cancellation for a Mississippi domestic LLC.
Before You File: Approve the Dissolution
Review the certificate of formation and written operating agreement first. Section 79-29-801 recognizes a dissolution time or event stated in those documents. If the LLC is voluntarily dissolving by member consent and the governing documents do not set a different threshold, the statutory default is consent of all members. The certificate of formation or operating agreement may expressly provide a lesser number.
Mississippi also recognizes other dissolution events, including the occurrence of a specified governing-document event, certain no-member situations, and judicial dissolution. Record the actual event and approval used by the LLC rather than substituting a generic majority vote.
Wind Up the Mississippi LLC
After dissolution, the company must wind up. Section 79-29-809 authorizes the persons winding up to settle and close the business, prosecute and defend proceedings, dispose of property, discharge or make reasonable provision for liabilities, and distribute remaining assets.
Mississippi’s winding-up authority is state-specific: a non-wrongful manager may wind up; if there is no such manager, members or another approved person may do so under the approval rule in § 79-29-809. The LLC should stop ordinary expansion or new business that is unrelated to winding up.
Pay Creditors and Handle Claims Before Final Distributions
Mississippi requires a dissolved LLC to pay or make reasonable provision for its claims and obligations, including known contingent, conditional, or unmatured contractual claims, and to provide for pending and reasonably foreseeable claims before distributing the remainder to members.
Mississippi also provides optional claim-management procedures. Under § 79-29-817, a dissolved LLC may send written notice to known claimants with a deadline that cannot be fewer than 120 days from the later of the mailing date or the filing of the Certificate of Dissolution. Under § 79-29-819, the LLC may publish one newspaper notice for unknown claims. These procedures can create statutory claim bars when followed correctly, but publication is not presented here as a universal prerequisite to dissolution.
Annual Reports, Status, and Tax Clearance
Mississippi domestic LLCs file an annual report each year by April 15, and the current SOS fee for a domestic LLC annual report is $0. The current Certificate of Dissolution materials reviewed for this page do not identify a separate “good standing” or annual-report clearance certificate as a prerequisite to voluntary dissolution, but outstanding compliance should be resolved rather than ignored.
No separate voluntary-dissolution tax-clearance certificate identified: the Secretary of State’s FAQ expressly discusses tax-clearance letters for certain reinstatement requests, while the current voluntary-dissolution materials reviewed here do not list a Mississippi Department of Revenue clearance letter as a filing prerequisite.
File the Mississippi Certificate of Dissolution
Miss. Code § 79-29-205 requires a Certificate of Dissolution to be delivered to the Secretary of State upon commencement of winding up. The certificate must state the LLC’s name, any permitted future effective date, and any other information the filer chooses to include.
The current Mississippi Business Services fee schedule lists the Certificate of Dissolution of MS LLC at $50. The Secretary’s live business filing portal currently states that business documents in Mississippi may only be filed using the online filing system.
The Certificate Can Use a Future Effective Date
Under § 79-29-205, the Certificate of Dissolution is effective when filed unless it specifies a future date certain. A delayed effective date cannot be later than the 90th day after the Secretary of State files the certificate.
Mississippi also permits a qualifying voluntary dissolution to be revoked within 120 days under § 79-29-829 if the statutory approval and Certificate of Revocation requirements are satisfied. Do not assume simply resuming operations cancels a filed dissolution.
Close Mississippi Tax and Employer Accounts Separately
The Mississippi Department of Revenue says a closing business must notify DOR through TAP and file a final return. If the LLC had a Mississippi withholding account, DOR requires a final withholding return and an account-closure request through TAP (or the agency’s stated written fallback procedure).
If the LLC had Mississippi employees and an unemployment-tax account, the Mississippi Department of Employment Security says the employer may request account closure online; MDES staff review the request. A local tax field representative can also assist.
Cancel state, local, professional, sales-tax, permit, or industry registrations separately when the issuing authority requires it.
What Happens After the Mississippi Dissolution Filing
A voluntarily dissolved Mississippi LLC continues its legal existence, but § 79-29-831 limits it to business necessary or appropriate to wind up and liquidate. The filing of the Certificate of Dissolution is also presumed to give notice of dissolution for certain agency-authority purposes under § 79-29-811.
Keep the filed certificate, dissolution approval, winding-up accounting, creditor records, final tax filings, account-closure confirmations, and distribution records with the LLC’s permanent records.
Close the Remaining Business Accounts
- Mississippi DOR: notify DOR through TAP, close applicable accounts, and file final returns.
- MDES: request closure of the unemployment-tax employer account if applicable.
- Licenses and permits: cancel state, local, and professional registrations separately.
- EIN: close the IRS business account after federal filing obligations are completed.
- Banking and contracts: close accounts after final payments and distributions clear.
- Foreign registrations: withdraw separately in every other state where the Mississippi LLC qualified.
Common Mississippi LLC Dissolution Mistakes
- Using a majority vote without checking the all-member statutory default and the governing documents.
- Using the foreign LLC Certificate of Cancellation instead of the domestic Certificate of Dissolution.
- Distributing assets before claims and obligations are paid or reasonably provided for.
- Calling the optional unknown-claims newspaper procedure a mandatory publication requirement.
- Missing the final DOR return or leaving tax and employer accounts open.
- Assuming SOS dissolution automatically closes licenses, EIN, bank accounts, or out-of-state registrations.
