Every Virginia LLC needs a registered agent, continuously, from formation onward. Unlike almost every other state in this series, Virginia genuinely restricts who can serve as an individual agent — here's exactly who qualifies and what to do if you don't.
Every Virginia LLC must continuously maintain a registered agent with a physical Virginia street address (no P.O. boxes). Virginia's rule for individual agents is genuinely restrictive: they must be a Virginia resident who is also a member or manager of the LLC (or a manager, officer, director, general partner, or trustee of an entity that is a member or manager), or a member of the Virginia State Bar. A business entity authorized in Virginia can also serve. If you don't personally qualify, commercial services run about $100–$150/yr.

What a Virginia Registered Agent Does
Your registered agent is the official recipient of lawsuits (service of process) and state correspondence for your LLC. Virginia requires one continuously, at a physical in-state street address, from formation onward.
- Accepts service of process — lawsuits, subpoenas, official legal mail, in person during business hours.
- Receives SCC notices — including anything related to your Annual Registration Fee.
- Appears on the public record — the registered agent name and address are searchable by anyone, permanently.
Who Actually Qualifies (This Is the Part Most Guides Get Wrong)
Virginia is not a "any resident qualifies" state — and this genuinely surprises people. Under Va. Code § 13.1-1015, an individual registered agent must be one of the following:
A Virginia resident who is a member or manager of the LLC
You (if you're a member or manager), or another Virginia-resident member/manager — the key requirement is genuine involvement in the LLC's ownership or management, not just residency.
A Virginia resident who is a manager, officer, director, general partner, or trustee of an entity that is itself a member or manager
Relevant if your LLC's ownership includes another business entity rather than individuals directly.
A member of the Virginia State Bar
A licensed Virginia attorney can serve as registered agent regardless of any ownership stake in your LLC.
A business entity authorized to do business in Virginia
This is where commercial registered agent services come in — they qualify as authorized business entities, sidestepping the individual restrictions entirely.
What this means in practice: a trusted friend, family member, or colleague who lives in Virginia but has no ownership or management role in your LLC, and isn't a Virginia attorney, generally cannot serve as your individual registered agent — something that would be perfectly fine in most other states in this series.

Changing Agents Later
File a change of registered agent with the SCC whenever your agent or eligibility status changes — for example, if a member who served as agent leaves the LLC. Never leave a resignation unresolved: an LLC without a valid, eligible registered agent drifts out of compliance.
