What Is a Florida Registered Agent?
A registered agent — also called a resident agent in some states — is the designated person or company that receives official legal and government documents on behalf of your Florida LLC. This includes lawsuit papers (service of process), IRS correspondence, state tax notices, annual report reminders, and any other official mail from the Florida Division of Corporations.
Florida requires the LLC to maintain a registered agent under §605.0113. A lapse can create missed-service and compliance consequences. Correct it promptly; do not assume dissolution automatically ends all liability protections.
Why it matters in Florida specificallyFlorida is one of the most litigious states in the country. Process servers are active across Miami, Tampa, Orlando, and Jacksonville. If your LLC is named in a lawsuit and your registered agent misses service — or your agent's address is wrong on Sunbiz — a default judgment can be entered against your business without your knowledge.
Who Can Be a Florida Registered Agent?
Florida law sets specific requirements for who qualifies. Your registered agent must meet all of the following:
- Physical Florida street address — a real street address in Florida. P.O. boxes are not accepted by Sunbiz under any circumstances.
- Reliable document receipt — must be physically present (or have authorized staff present) Monday through Friday, 9 AM–5 PM, to accept delivery of documents.
- Qualifying individual or entity — apply the categories and address/acceptance requirements in §605.0113.
- Must consent in writing — the agent signs the Articles of Organization or a separate acceptance form confirming they agree to serve.
- Your LLC cannot be its own registered agent — Sunbiz rejects this every time. You need a separate individual or company.

DIY vs Registered Agent Service — Which Is Right for You?
Compare an eligible owner, another qualifying agent and commercial service using eligibility, public-record exposure, reliable document handling and current renewal terms. A paid service is optional when another qualifying agent can serve.
DIY (Be Your Own Agent)
- No ongoing cost
- Simple if you work from a Florida office
- You control all documents directly
- Your home address is public on Sunbiz
- Arrange reliable receipt and forwarding at the registered office
- Lawsuit papers served at home or workplace
- No compliance reminders for annual report
- Problems if you travel or work remotely
Professional Service
- Your home address stays off Sunbiz records
- Never miss a document — same-day alerts
- Annual report reminders help avoid the $400 late fee
- Works if you travel or aren't in Florida
- Professional handling of legal notices
- Annual recurring cost
- Slight delay before you see documents
A service does not remove all information from Sunbiz or guarantee compliance. Review the selected service’s coverage and renewal terms, and keep the LLC’s own report deadlines and legal-response procedures current.

How to Appoint Your Florida Registered Agent
You don't file a separate form to appoint your registered agent. You designate them directly in your Articles of Organization when you file with Sunbiz (Step 3). The Articles ask for:
- The registered agent's full legal name (individual or company name)
- The registered agent's Florida street address (the registered office address)
- The agent's signature (or electronic acknowledgment) consenting to the appointment
If you hire Northwest before filing, they provide all their agent information for you to enter into the Articles. If you're filing yourself as agent, use your own Florida street address and sign the consent section.
Registered agent vs registered officeFlorida uses both terms. The "registered office" is the physical street address where the agent can be reached — it's the same location. Sunbiz will list both the agent's name and their office address publicly. If you use a service, it's the service's Florida office address that appears, not yours.
How to Change Your Florida Registered Agent
Your registered agent will change at some point — you hire a service, your current agent moves, or you switch providers. Florida gives you two ways to handle it:
- On your Annual Report (no extra fee): When you file your Florida Annual Report between January 1 and May 1, you can update your registered agent information right in the form at no additional charge. This is the easiest option if the change is coming up near your annual report window.
- Statement of Change (anytime, $25 fee): If you can't wait for the annual report, file a "Statement of Change of Registered Office or Registered Agent for LLCs" (Form RA-1C) with the Division of Corporations. The fee is $25 for LLCs. This form cannot be filed online — it must be mailed or hand-delivered to the Division of Corporations in Tallahassee. Processing typically takes 5–7 business days.
Don't leave your LLC without an agent. Between the time your old agent is removed and a new one is confirmed, your LLC is technically out of compliance. If you're switching services, have the new agent in place before the old one is resigned. If you hire Northwest, they file the change of agent paperwork for you and cover the $25 state fee.
- ✓Review address-use rules and privacy policies; a service does not remove all information from public filings.
- ✓Confirm document receipt, forwarding methods, response times and any additional charges.
- ✓Confirm reminder and follow-up filing services; the LLC remains responsible for its deadlines.
- ✓Confirm registered-agent eligibility, coverage, included periods and renewal charges.
