For a standard voluntary Virginia LLC closeout, document unanimous written member consent (unless another dissolution event in the articles or operating agreement applies), wind up the company, pay or provide for liabilities, bring SCC fees current, close applicable tax/employer accounts, and then file Articles of Cancellation. What Dissolving a Virginia LLC Means

Virginia separates dissolution from the final cancellation of the LLC's existence. Under Va. Code § 13.1-1046, a dissolution event starts the winding-up process. The LLC then continues only as needed to wind up under § 13.1-1048.

After winding up is complete, the LLC files Articles of Cancellation under § 13.1-1050. If the SCC accepts the filing and required fees have been paid, it issues a certificate of cancellation; when that certificate becomes effective, the LLC's existence ceases except for limited post-cancellation proceedings allowed by law.

Before You File: Approve the Dissolution

First check the articles of organization and operating agreement for a written dissolution event. If no such event controls and the members are voluntarily dissolving the company under the statutory consent route, Virginia requires unanimous written consent of the members under § 13.1-1046(2).

Keep the signed consent or other company record showing the dissolution event and date. Virginia does not use a generic majority-vote fallback for this statutory voluntary-consent route.

Wind Up the Virginia LLC

After dissolution, the LLC must wind up. Under § 13.1-1048, the members may wind up the affairs unless the governing documents provide otherwise or a court supervises winding up. The company may collect and dispose of property, finish or close business, prosecute or defend proceedings, discharge or make reasonable provision for liabilities, and distribute remaining assets.

Pay Creditors and Handle Liabilities Before Distributions

Virginia requires assets to go first to creditors, including members who are creditors, before remaining assets are distributed to members under § 13.1-1049.

A dissolved LLC may use the known-claim procedure in § 13.1-1049.1. Written notice can set a confirmation deadline of at least 120 days from the effective date of the notice. Virginia also allows an optional one-time newspaper publication procedure under § 13.1-1049.2; for covered claims, the outside period is generally the earlier of the applicable limitations period or three years after publication.

Publication is optional, not universal. Virginia says a dissolved LLC may publish notice. It is a claims-management tool, not a prerequisite for every Articles of Cancellation filing.

File the Virginia Articles of Cancellation

When winding up is complete, file Articles of Cancellation of a Virginia Limited Liability Company with the State Corporation Commission. The filing states the LLC name, SCC identification number, effective date of its certificate of organization, and that winding up has been completed.

The current SCC filing fee is $25. SCC instructions require all fees and penalties to be paid before the articles are submitted. The filing can be completed online through the Clerk's Information System (CIS) or submitted on paper.

Virginia LLCs normally owe a $50 annual registration fee each year after formation. SCC instructions for Articles of Cancellation state that if the cancellation is effective on or before the current annual registration-fee due date, the current year's annual fee is not required; otherwise required fees and penalties must be paid.

The SCC certificate is effective when issued unless the articles specify a later date/time. Under § 13.1-1004, a delayed effective date for such articles cannot extend beyond 11:59 p.m. on the 15th day after the certificate is issued.

Close Virginia Tax and Employer Accounts Separately

SCC cancellation does not automatically close Virginia tax registrations. Virginia Tax says a closing business should report the closure through its online business account or by filing Form R-3 so the tax account can be marked inactive and future returns are not expected.

File all required final returns for the tax types the LLC actually had. Do not assume every LLC has corporation-tax filing obligations; final-return requirements depend on the LLC's federal and Virginia tax classification and registrations.

If the LLC had employees, close or update the unemployment-insurance employer account with the Virginia Employment Commission. VEC provides Employer Self Service and FC-20C Employer Account Change Notice for account changes, along with final quarterly tax/payroll reporting as applicable.

No separate Virginia Tax clearance attachment identified: § 13.1-1050 and the current SCC Articles of Cancellation instructions focus on completed winding up and SCC fees/penalties; they do not list a separate Department of Taxation clearance certificate as a standard attachment.

What Happens After the Certificate of Cancellation Is Effective

When the SCC certificate of cancellation becomes effective, the Virginia LLC's existence ceases, subject to the limited survival rules for suits, proceedings, and appropriate member actions. Keep the filed Articles of Cancellation, SCC certificate, member consent, final accounting, creditor records, final tax filings, employer closure records, and distribution records with the company's permanent files.

Close the Remaining Business Accounts

  • Virginia Tax: file final returns and close applicable registrations online or with Form R-3.
  • Virginia Employment Commission: close/update the unemployment account and complete final reports if the LLC had employees.
  • Licenses and permits: cancel state, local, professional, and industry registrations separately where required.
  • Federal EIN: complete the IRS business-account closeout process where appropriate.

Common Virginia LLC Dissolution Mistakes

  • Filing Articles of Cancellation before winding up is complete.
  • Using a majority-vote assumption instead of Virginia's unanimous written-consent rule for the statutory voluntary route.
  • Distributing assets before creditors and liabilities are paid or adequately provided for.
  • Ignoring unpaid SCC annual registration fees or penalties that can block the cancellation filing.
  • Treating optional creditor publication as a mandatory filing step.
  • Assuming SCC cancellation automatically closes Virginia Tax or VEC accounts.
