How to Dissolve an LLC in Utah

Utah separates dissolution from termination. A dissolution event—commonly an operating-agreement event or the consent of all members—starts the winding-up stage. A Utah LLC may file a Statement of Dissolution while winding up, and after winding up it may file a Statement of Termination, which ends the entity's legal existence. Utah's current FY2026 fee schedule lists domestic voluntary dissolution/termination at $0 (No Charge).

What Dissolving a Utah LLC Means

Utah treats dissolution and termination as different stages. Dissolution starts the winding-up phase. Under Utah Code § 48-3a-703, the LLC continues after dissolution only for the purpose of winding up, except where the statute permits rescission.

The Division of Corporations explains that a Statement of Dissolution starts or records the winding-up process, while a Statement of Termination is the final filing that terminates the entity's existence. Do not treat those two filings as interchangeable.

Before You File: Approve the Dissolution

Start with the LLC's operating agreement and certificate of organization. Utah Code § 48-3a-701 provides that an LLC dissolves upon an event, circumstance, or date stated in those governing documents or, as the statutory voluntary default, upon the consent of all members.

Keep a written consent, resolution, or other company record showing the dissolution event and the date it became effective. If the operating agreement itself supplies the dissolution event, preserve the relevant provision with the company's closeout records.

Do not substitute a generic majority rule. Utah's statutory consent route is all-member consent. A different dissolution event can arise from the governing documents, but it should be documented rather than guessed.

Wind Up the Utah LLC

A dissolved Utah LLC must wind up its activities and affairs. Utah Code § 48-3a-703 requires the company to discharge its debts, obligations, and other liabilities, settle and close its activities and affairs, and marshal and distribute its assets. It may also preserve the business temporarily as a going concern when reasonably necessary to wind up, prosecute or defend proceedings, transfer property, and settle disputes.

Pay Creditors and Handle Liabilities Before Distributions

Utah's winding-up statute requires debts, obligations and liabilities to be discharged as part of winding up. Do not distribute remaining assets to members until the LLC has addressed its creditors and other obligations.

Utah also offers optional claims-management procedures. A dissolved LLC may send written notice to known claimants under § 48-3a-705 using a deadline of at least 120 days. It may also publish notice under § 48-3a-706; properly drafted publication can create a three-year outside period for covered claims.

Publication is optional, not a universal filing requirement. Utah law says a dissolved LLC may publish notice. Do not add newspaper publication to every Utah dissolution checklist unless the company chooses to use that claims procedure.

File the Utah Statement of Dissolution and Statement of Termination

The Utah Division of Corporations now routes dissolution and termination filings through its online UtahID workflow. From the business portal, choose File On An Existing Business, locate the LLC, and select the appropriate dissolution or termination filing type.

The current FY2026 Utah fee schedule, effective July 1, 2025, lists Domestic entity voluntary dissolution/termination — No Charge. The published state processing fee is $0.

A Statement of Dissolution can be filed while the LLC is winding up. A Statement of Termination is the final filing and terminates the LLC's existence. Utah's official forms state that either filing can be effective upon filing or on a future effective date. Under § 48-3a-206, a delayed effective date/time may not be more than 90 days after filing.

Close Utah Tax and Employer Accounts Separately

The Division of Corporations filing does not automatically close the LLC's Utah tax registrations. The Utah State Tax Commission uses TC-69C, Notice of Change for a Tax Account, to close a tax account, and applicable accounts can also be managed through TAP. Utah guidance says businesses that stop doing business must close their accounts and file required returns for periods during which the accounts were open.

The Tax Commission's tax-clearance page expressly discusses domestic corporations; the current Utah LLC filing guidance does not identify a separate Tax Clearance Certificate as a standard attachment to an LLC Statement of Dissolution or Statement of Termination. Close the tax accounts the LLC actually had rather than importing corporation-only requirements.

If the LLC had Utah employees, notify the Department of Workforce Services when wages permanently stop and submit the final unemployment report. DWS says employers may stop filing only after the required closure notification and final report are completed.

What Happens After the Statement of Termination Is Effective

Once the Statement of Termination becomes effective, the entity's legal existence is terminated. Keep the filed statement, dissolution approval, winding-up accounting, creditor records, final tax filings, employer closure records and final asset-distribution records with the company's permanent files.

If the LLC has filed only a Statement of Dissolution and not a Statement of Termination, Utah law permits rescission of the dissolution in qualifying circumstances. Once a Statement of Termination is effective, that rescission route is no longer available.

Close the Remaining Business Accounts

  • Utah State Tax Commission: close applicable tax accounts through TC-69C/TAP and file required final returns.
  • Utah DWS: close the unemployment employer account if the LLC permanently stopped paying wages.
  • Licenses and permits: cancel state, local and professional registrations separately where required.
  • Federal EIN: follow the IRS account-closeout process where appropriate; an EIN itself is not reused or canceled like a state license.

Common Utah LLC Dissolution Mistakes

  • Confusing the Statement of Dissolution with the final Statement of Termination.
  • Using a majority-vote assumption when Utah's statutory consent route requires all members.
  • Distributing assets before debts and liabilities are addressed.
  • Assuming publication is mandatory when Utah makes it an optional claims procedure.
  • Leaving Tax Commission, DWS, license, bank or federal closeout tasks unfinished after the Division filing.
