How to Dissolve an LLC in Oklahoma

An Oklahoma LLC may dissolve upon an event stated in its articles or written operating agreement, or under the standard voluntary route by written consent of all members. After dissolution, the company continues only to wind up its affairs. The Secretary of State filing is Articles of Dissolution (SOS Form 0080), currently $50. If the LLC has lost good standing for a delinquent annual certificate, it must be reinstated before the Secretary of State will accept the dissolution filing.

Quick Answer

Review the articles of organization and written operating agreement first. Oklahoma law recognizes dissolution events stated there; otherwise the standard voluntary route requires written consent of all members. After dissolution, wind up the LLC, pay or adequately provide for liabilities, and file SOS Form 0080 — Articles of Dissolution with the Oklahoma Secretary of State for $50. The filing is effective when filed unless the articles state another effective date.

What Dissolving an Oklahoma LLC Means

Under 18 O.S. § 2037, an Oklahoma limited liability company dissolves when a statutory dissolution event occurs. Those events include a dissolution date stated in the articles of organization, a written operating-agreement event, written consent of all members, certain no-member situations, or a judicial decree.

Dissolution does not immediately end the company. Section 2037(B) says the LLC continues in existence after dissolution, but it may carry on only activities necessary to wind up its business or affairs and liquidate its assets.

Before You File: Approve the Dissolution

Check the articles of organization and written operating agreement first because they can specify a dissolution event or alter voting rules. For the ordinary voluntary route in § 2037(A)(3), Oklahoma requires written consent of all members. Section 2020(D) likewise makes unanimous vote or consent the default for that dissolution route unless the articles or a written operating agreement provide otherwise.

Keep the signed written consent or other record establishing the dissolution event with the LLC's permanent company records.

Wind Up the Oklahoma LLC

After dissolution, the LLC must wind up before it finishes closing. Under 18 O.S. § 2039, the persons winding up may prosecute or defend suits, settle and close the business, dispose of property, discharge liabilities, and distribute remaining assets.

Unless the articles or operating agreement provide otherwise, the managers ordinarily handle winding up. A district court may take over the winding-up process in the circumstances described by § 2039.

Pay Creditors and Handle Liabilities Before Owner Distributions

Oklahoma's distribution rule is direct: under 18 O.S. § 2040, payment or adequate provision for payment must first be made to creditors, including members who are creditors to the extent permitted by law. Only after liabilities are handled does the statute move to the remaining distribution priorities.

Do not distribute the remaining assets simply because the members approved dissolution. Finish the liability review and winding-up work first.

Bring Annual Certificates Current if the LLC Lost Good Standing

Oklahoma LLCs file a $25 annual certificate on the anniversary of formation. If the certificate and fee remain unpaid for more than 60 days, the LLC ceases to be in good standing under 18 O.S. § 2055.2.

This matters before dissolution: § 2055.2(E) says the Secretary of State generally will not accept articles or certificates for a domestic LLC that has ceased to be in good standing until the company is reinstated. If your LLC is delinquent, restore good standing before submitting Form 0080.

File SOS Form 0080 — Articles of Dissolution

After the LLC has dissolved under § 2037, file Articles of Dissolution of an Oklahoma Limited Liability Company (SOS Form 0080) with the Oklahoma Secretary of State. The current statutory filing fee is $50 under 18 O.S. § 2055.

Section 2041 requires the articles to state the LLC's name, the date its articles of organization were filed, the reason for dissolution, and the effective date if the filing is not to become effective when filed. The form also allows other information the filing members or managers determine to include.

Effective-date rule: Oklahoma § 2041 permits the Articles of Dissolution to be effective on filing or on another effective date stated in the articles. Unlike states with a fixed 90-day delayed-effective-date cap, the LLC dissolution section itself does not state such a cap.

Close Oklahoma Tax and Employer Accounts Separately

The Secretary of State dissolution filing does not automatically close Oklahoma Tax Commission registrations. File the final returns required for the tax accounts the business actually maintained and close or update those accounts through the applicable Oklahoma Tax Commission process, including OkTAP where available.

For withholding, Oklahoma's rules require an employer discontinuing business to file a final withholding return and provide the closing information required by the Tax Commission. A business that merely stops having employees but remains in business should not mark a final return unless it is actually discontinuing the business.

If the LLC had Oklahoma unemployment insurance obligations, notify the Oklahoma Employment Security Commission. OESC lists Form OES-024 — Employer's Report on Termination of Business in Whole or Part as its business-termination notice.

No separate tax-clearance attachment is listed in § 2041 for an ordinary Oklahoma LLC Articles of Dissolution filing. That does not eliminate final-return, payment, permit-cancellation, or account-closure duties with the Tax Commission.

What Happens After the Articles of Dissolution Are Filed

Section 2041 allows the articles to be effective upon filing or on another stated effective date. Filing the Articles of Dissolution also creates presumptive notice of dissolution for the authority rule in § 2039.

Keep the filed Articles of Dissolution, written member consent or other dissolution record, winding-up accounting, creditor-payment records, annual-certificate/reinstatement records if applicable, and final tax and employer filings with the company's permanent records.

Close the Remaining Business Accounts

  • Oklahoma Tax Commission: file final returns and close applicable sales, withholding, or other registrations.
  • OESC: submit the employer business-termination notice if the LLC had an unemployment account.
  • Licenses and permits: cancel state, local, professional, and industry registrations separately.
  • Banking and contracts: settle obligations and close accounts after liabilities are handled.
  • Company records: retain dissolution, winding-up, tax, and distribution records.
  • EIN: follow the federal closeout process after all required federal returns are filed.

Common Oklahoma LLC Dissolution Mistakes

  • Using a majority-vote assumption instead of the default all-member written-consent rule for the standard voluntary route.
  • Filing before checking whether the LLC has lost good standing for delinquent annual certificates.
  • Confusing the dissolution event with the separate winding-up process.
  • Distributing assets before creditors are paid or adequately provided for.
  • Assuming the Secretary of State filing automatically closes Oklahoma tax or unemployment accounts.
  • Inventing a newspaper-publication requirement; the LLC Act provisions verified for this page do not impose one as a standard filing prerequisite.
