How to Dissolve an LLC in Nevada

A Nevada LLC normally closes by approving dissolution under its governing documents and NRS 86.491, winding up its affairs, and filing Articles of Dissolution with the Nevada Secretary of State. The current statutory filing fee is $100. Unless the articles of organization or operating agreement provide otherwise, Nevada’s default voluntary rule is the affirmative vote or written agreement of all members.

Quick Answer

Check the operating agreement and articles first. Under NRS 86.491, Nevada’s default voluntary rule is all-member approval unless the governing documents provide otherwise. After approval, wind up the LLC, pay or adequately provide for liabilities, then file Articles of Dissolution with the Secretary of State. Current statutory fee: $100. The filing may be effective immediately or on a later date and time no more than 90 days after filing.

What Dissolving a Nevada LLC Means

Nevada law separates the decision to dissolve from the work of winding up. Under NRS 86.491, an LLC must dissolve when a dissolution time or event in its articles or operating agreement occurs, when the required members approve dissolution, when a court orders dissolution, or in certain no-member situations.

A dissolved Nevada LLC does not immediately disappear. NRS 86.505 allows it to continue for limited winding-up purposes such as settling and closing the business, collecting and discharging obligations, disposing of property, distributing assets, and prosecuting or defending claims.

Before You File: Approve the Dissolution

Review the articles of organization and operating agreement first. Under NRS 86.491, unless those governing documents provide otherwise, the voluntary default is the affirmative vote or written agreement of all members.

Keep written evidence of the approval or other dissolution event with the LLC’s permanent records. Do not assume a simple majority is enough unless the governing documents validly establish a different rule.

Wind Up the Nevada LLC

After dissolution is triggered, the appropriate manager, members, or other authorized person winds up the company under NRS 86.491. Winding up includes completing unfinished matters, collecting assets, closing operations, addressing contracts, and preparing final distributions.

NRS 86.521 and 86.541 require the company to pay or adequately provide for liabilities and obligations before distributing the remaining property to members.

Pay Creditors and Handle Liabilities Before Final Distributions

Nevada’s dissolution provisions focus on paying or adequately providing for company obligations before member distributions. Keep documentation showing how known debts, contingent obligations, contracts, refunds, payroll, and other liabilities were resolved or reserved for.

The ordinary domestic LLC dissolution provisions reviewed for this page do not impose a universal newspaper-publication requirement as a prerequisite to filing Articles of Dissolution.

Status, Annual Lists, and Revoked LLCs

For an ordinary active LLC, the current dissolution statute does not state a separate Department of Taxation clearance certificate as a prerequisite to Articles of Dissolution. Tax accounts are closed separately after the business stops operating.

If the LLC’s charter has already been revoked, NRS 86.4895 provides a special path that may allow dissolution without paying additional reinstatement fees and penalties when the company can satisfy the statute’s no-business or partial-period conditions. A revoked LLC should use the Secretary of State’s instructions for its actual status rather than assuming the active-LLC workflow applies unchanged.

File the Nevada Articles of Dissolution

As soon as practicable after the determination that the LLC should be dissolved, NRS 86.531 requires Articles of Dissolution. The filing states the LLC name, confirms that dissolution was approved or otherwise required under NRS 86.491 or ordered under NRS 86.495, and states the effective date and time.

NRS 86.561 sets the current filing fee for Articles of Dissolution at $100. Nevada’s statewide business portal, SilverFlume, is the Secretary of State’s online business filing platform.

When the Nevada Dissolution Becomes Effective

Under NRS 86.531 and 86.541, the Articles of Dissolution are effective when filed or on a later date and time stated in the filing. The delayed effective date may be no more than 90 days after the filing date. If a later date is stated without a time, the statute uses 12:01 a.m. Pacific time on that date.

Close Nevada Tax and Employer Accounts Separately

The Secretary of State filing does not automatically close Nevada Department of Taxation accounts. The Department instructs businesses with Sales Tax, Use Tax, and/or Commerce Tax accounts to close them through My Nevada Tax or the Department’s Close Account Form and file required returns through the closing period.

For employers, Nevada Taxation states that Modified Business Tax (MBT) closure is tied to the Employment Security Division. The business must contact ESD and provide the date of last payroll to close the unemployment insurance account; once UI is closed, the MBT account is closed with Taxation. Required returns must still be filed through the date payroll ceased.

Cancel state, local, professional, and industry licenses separately where applicable, and close the IRS business account after required federal returns are filed.

What Happens After Nevada Files the Articles of Dissolution

After the Articles of Dissolution become effective, the company remains able to complete limited winding-up matters and handle qualifying claims under Nevada law, but it should not continue ordinary business for which it was formed.

Keep the filed Articles of Dissolution, member approval, winding-up accounting, creditor records, final tax returns, employer-account closure records, and final distributions with the company’s permanent records.

Close the Remaining Business Accounts

  • Nevada Taxation: close applicable Sales Tax, Use Tax, and Commerce Tax accounts and file final returns.
  • UI / MBT: close the UI employer account with ESD so MBT can be closed through Taxation.
  • Licenses and permits: cancel state, local, professional, and industry registrations separately.
  • EIN: close the IRS business account after required federal returns are filed.

Common Nevada LLC Dissolution Mistakes

  • Assuming a majority vote is enough without checking the operating agreement and Nevada’s default all-member rule.
  • Filing Articles of Dissolution without adequately addressing liabilities and winding-up obligations.
  • Using a future effective date more than 90 days after filing.
  • Assuming every revoked LLC must pay full reinstatement fees before it can dissolve.
  • Assuming the SOS filing automatically closes Nevada tax, UI, MBT, license, permit, or federal accounts.
  • Continuing ordinary business after dissolution instead of limiting activity to winding up.
