How to Dissolve an LLC in Missouri

A Missouri LLC that voluntarily dissolves must first file a Notice of Winding Up for Limited Liability Company (LLC 13), then finish winding up and file Articles of Termination for Limited Liability Company (LLC 5). The current Secretary of State fee is $25 for each filing — $50 total for the ordinary two-filing sequence.

Quick Answer

For the standard voluntary route, Missouri law recognizes dissolution upon the written consent of all members, unless another dissolution event in the operating agreement or articles applies. File LLC 13 Notice of Winding Up as soon as possible after dissolution, complete liquidation and distributions, then file LLC 5 Articles of Termination. Each filing currently costs $25. LLC 5 may use a future effective date up to 90 days after filing.

What Dissolving a Missouri LLC Means

Missouri separates dissolution, winding up, and termination. Under RSMo § 347.137, a domestic LLC is dissolved when an applicable statutory or governing-document event occurs. Under § 347.139, the dissolved LLC then stops ordinary business except activity necessary or appropriate to wind up, while its separate legal existence continues until Articles of Termination are filed or a court enters a termination decree.

Missouri uses two required Secretary filings for the ordinary voluntary route: first LLC 13 — Notice of Winding Up; after winding up is complete, LLC 5 — Articles of Termination.

Before You File: Approve the Dissolution

Review the operating agreement and articles of organization first. Missouri § 347.137 recognizes dissolution events stated in those documents. For the standard voluntary member-consent route, the statute provides for dissolution upon the written consent of all members. Do not substitute a generic majority threshold when the LLC is relying on this route.

Other statutory events can also cause dissolution, including certain member-withdrawal or no-member situations and judicial dissolution. Document the actual event that applies to the LLC.

Wind Up the Missouri LLC

After dissolution, Missouri § 347.139 requires the LLC to liquidate its business and affairs: collect assets; pay, satisfy, or discharge liabilities or make adequate provision for them; dispose of property not distributed in kind; and apply and distribute assets in the statutory order.

Section 347.147 governs who may wind up. Unless the operating agreement provides otherwise, the non-wrongfully dissolving members generally wind up a member-managed LLC, while managers may be authorized to wind up a manager-managed LLC.

Pay Creditors and Handle Claims Before Final Distributions

Do not make final member distributions before the LLC has paid or adequately provided for its liabilities. Missouri § 347.141 also offers claims-management procedures after dissolution. Known claimants may receive written notice with a claim deadline of at least 90 days.

For unknown claims, Missouri provides a more formal optional publication process tied to the Notice of Winding Up. It involves publication in specified Missouri outlets and can create a three-year claims bar when all statutory requirements are met. This publication procedure is not presented as a universal prerequisite to file LLC 13 or LLC 5.

Annual Reports, Status, and Tax Clearance

Missouri domestic LLCs generally do not file annual reports with the Secretary of State, so there is no annual-report catch-up step comparable to many states. The Secretary’s LLC 13 and LLC 5 forms do not identify a Department of Revenue tax-clearance certificate as a prerequisite to the ordinary domestic LLC filings.

Tax accounts still require separate closeout. Missouri DOR instructs businesses closing an account to file final returns and payments for all active accounts, then contact DOR to close the registration.

File the Missouri Notice of Winding Up, Then Articles of Termination

Step 1 — LLC 13, Notice of Winding Up: Missouri § 347.137 says the LLC should file the notice as soon as possible after the dissolution event. The Secretary of State forms page expressly states that the Notice of Winding Up must be on record before Articles of Termination will be accepted. Current fee: $25.

Step 2 — LLC 5, Articles of Termination: After the remaining property and assets have been applied and distributed under § 347.139, § 347.045 requires Articles of Termination. LLC 5 asks for the LLC name, original organization filing date, reason for termination, effective date, and the date the Notice of Winding Up was filed. Current fee: $25.

When the Missouri Termination Becomes Effective

LLC 5 states that the Articles of Termination are effective on the date filed by the Secretary of State unless the filing specifies a future date. Under § 347.045, that future effective date may be no more than 90 days after the filing date.

The LLC’s separate existence continues during winding up until Articles of Termination are filed (or a court enters a termination decree), so do not treat the earlier Notice of Winding Up as the final termination filing.

Close Missouri Tax and Employer Accounts Separately

Missouri Department of Revenue says a business closing tax accounts must file its final returns and payments for all active accounts and then contact DOR to close the account. Secretary of State termination does not automatically perform that DOR closeout.

If the LLC had Missouri employees, the Division of Employment Security says an employer that no longer has employees can request closure through UInteract using “Request to Close Account” under Account Maintenance, or contact the Division for an Employer Change Request.

What Happens After Missouri Accepts the Articles of Termination

Once LLC 5 is filed and effective, the LLC’s articles of organization are cancelled under § 347.045. Keep the filed LLC 13 and LLC 5, approval records, creditor documentation, final tax filings, account-closure confirmations, and final accounting records with the company’s permanent records.

Close the Remaining Business Accounts

  • Missouri DOR: file final returns/payments and close active tax registrations.
  • Unemployment account: request closure through UInteract if the LLC had Missouri employees.
  • Licenses and permits: cancel state, professional, county, and city registrations that do not close automatically.
  • Federal EIN: follow the IRS business-account closure procedure when appropriate.

Common Missouri LLC Dissolution Mistakes

  • Filing LLC 5 before LLC 13 is on record.
  • Treating the Notice of Winding Up as the final termination filing.
  • Using a generic majority vote instead of the verified all-member written-consent route when that is the dissolution event relied upon.
  • Distributing assets before paying or adequately providing for liabilities.
  • Assuming Secretary termination automatically closes Missouri tax, unemployment, licenses, or federal accounts.
