How to Dissolve an LLC in Iowa
To close a domestic Iowa LLC, first trigger dissolution under the operating agreement or Iowa law, then wind up the company's affairs. During winding up, you may file a Statement of Dissolution; after winding up is complete, you may file a Statement of Termination. Iowa currently charges $5 for each filing.
In Iowa, the LLC is dissolved by an event under the operating agreement or Iowa Code — including an affirmative vote or consent of all members for the standard member-driven route. During winding up, the LLC may file a Statement of Dissolution ($5). After winding up, it may file a Statement of Termination ($5). Both are listed as online-capable through Iowa Fast Track Filing.

What Dissolving an LLC Means in Iowa
Iowa's current LLC Act separates the event that causes dissolution from the Secretary of State filings used during the closeout. Under Iowa Code §489.701, the LLC becomes dissolved when a statutory dissolution event occurs. Under §489.702, the dissolved LLC then continues only for the purpose of winding up.
Before You File: Approve the Dissolution
Check the operating agreement first. Iowa Code §489.701 provides that dissolution can occur because of an event or circumstance stated in the operating agreement or by the affirmative vote or consent of all members, among other statutory events. Keep the approval record with the LLC's internal records.
Optional: File an Iowa Statement of Dissolution
During winding up, Iowa Code §489.702 says the dissolved LLC may deliver a Statement of Dissolution to the Secretary of State stating the LLC's name and that the company is dissolved. The current Secretary of State forms-and-fees page lists this filing at $5 and marks it as available online through Fast Track Filing.
The Statement of Dissolution is not what creates the dissolution. The LLC is already dissolved because the applicable statutory or operating-agreement event occurred. The filing puts that status on the Secretary of State record.
Wind Up the Iowa LLC
Iowa Code §489.702 requires the dissolved LLC to discharge debts, obligations and other liabilities, settle and close its activities and affairs, and marshal and distribute its assets. It can also preserve the business temporarily as a going concern, prosecute or defend proceedings, transfer property, settle disputes and take other appropriate winding-up actions.
- Pay or provide for debts and liabilities. Creditor obligations come before final distributions.
- Settle and close the company's activities and affairs. Finish contracts, collections and other closeout work.
- Marshal and distribute assets. Keep records showing how remaining property was handled.
File the Iowa Statement of Termination After Winding Up
Once winding up is complete, Iowa Code §489.702 allows the LLC to deliver a Statement of Termination stating the name of the company and that it is terminated. The current Iowa Secretary of State fee is $5, and the filing is listed as available online through Fast Track Filing.
Iowa's 2026 Act also allows a dissolved LLC to rescind its dissolution in qualifying circumstances, but not after a Statement of Termination applicable to the company has become effective. That makes the termination filing an important finality point in the process.
Cancel Iowa Tax Permits Separately
The Secretary of State filings do not automatically cancel Iowa Department of Revenue permits. Iowa Revenue says that if you close the business, you must cancel all tax permits and file returns through the permit cancellation date to avoid future communications from the Department.
Permits can be canceled online. If online cancellation is not available, Iowa Revenue provides Iowa Business Tax Cancellation Form 92-034. Close only the permits that actually apply to the LLC.
Do not leave Iowa tax permits open. Iowa Revenue states that an issued permit remains effective until the owner cancels it or the Department revokes it.
What Happens After the Statement of Termination
Once the Statement of Termination becomes effective, treat the Iowa entity closeout as final unless a different statutory remedy applies. Keep the filed termination, tax-cancellation records and final accounting documents with the company's permanent records.
Close the Remaining Business Accounts
- Iowa tax permits: cancel applicable permits and file returns through the permit cancellation date.
- Licenses and permits: cancel state, local and professional registrations separately where needed.
- EIN: use LLC School's Cancel or Close an EIN guide for the federal closeout process.
- Foreign registrations: withdraw separately in other states where the Iowa LLC qualified to do business.
- Banking and insurance: keep accounts open long enough to clear final obligations and claims.
Common Iowa LLC Dissolution Mistakes
- Assuming the Statement of Dissolution itself is what causes the LLC to dissolve.
- Stopping after a Statement of Dissolution without completing winding up and the final Statement of Termination.
- Using a generic majority-vote rule instead of Iowa's current all-member statutory consent rule when that route applies.
- Assuming Secretary of State filings cancel Iowa Revenue tax permits automatically.
- Leaving tax returns unfiled through the permit cancellation date.
