What Terminating an LLC Means in Illinois
Illinois uses a Statement of Termination as the final filing for a domestic LLC. Do not use the corporation Articles of Dissolution form; that belongs to corporations, not LLCs. The LLC should complete the dissolution and winding-up steps that apply before filing the statement that the company has been terminated.
Before You File: Approve the Dissolution
Review the operating agreement and the Illinois Limited Liability Company Act to determine the dissolution event or approval that applies. Keep the written consent, resolution, minutes or other internal authorization with the LLC's records. The current termination form does not itself supply a universal voting rule, so do not invent one.
Wind Up the Illinois LLC
Before termination, finish the company's closeout work: collect receivables, address contracts, pay or provide for debts and liabilities, handle payroll and taxes, distribute remaining assets as permitted, and preserve final records.
Make Sure the LLC Is in Good Standing
Illinois's current online termination instructions say the LLC must be in good standing. An LLC cannot use the termination or withdrawal process if it has been administratively dissolved, revoked, merged, converted, domesticated or expired. If the entity is not in an eligible status, resolve that status issue before attempting the online termination.
Administrative dissolution is a different problem. If the LLC has already been administratively dissolved, Illinois provides a reinstatement process rather than allowing the ordinary termination filing to proceed.
File Illinois Form LLC-35.15 — Statement of Termination
The current Illinois Secretary of State LLC forms page lists LLC-35.15 Statement of Termination with a $5 filing fee. The current form, reprinted in March 2026, confirms the same $5 filing fee.
The paper form asks for the LLC name, a mailing address for service of process after termination, a statement that the LLC has been terminated, and the signature of the authorized filer. The current online instructions say the termination must be executed by a manager or other person authorized by the company.
Illinois Expedited Service Is In Person Only
The current Illinois LLC forms page lists an optional $50 expedited fee for LLC-35.15. Illinois expressly states that requests for expedited service must be made in person at the Department's Springfield or Chicago office; expedited service cannot be requested by mail.
Close Illinois Tax Accounts Separately
The Secretary of State termination does not automatically close Illinois Department of Revenue accounts. IDOR says a closing business must contact the Department regarding its tax liabilities, which can be done electronically through MyTax Illinois, by phone, or at an IDOR office.
When filing the final return for each tax type, mark the return as final when the form provides a final-return box. Some Illinois tax forms do not have such a box, so follow the instructions for the specific account and return.
Entity termination and tax closure are separate. Finish IDOR obligations based on the LLC's actual registrations and tax classification.
What Happens After Illinois Files the Termination
Keep the filed Statement of Termination and final tax records with the company's permanent books. Illinois's online process provides a link on the receipt page and confirmation email to print the filed document. Other business accounts—licenses, payroll, EIN, banking, insurance and foreign registrations—must still be closed separately where applicable.
Close the Remaining Business Accounts
- Illinois Department of Revenue: close applicable accounts and mark final returns as final where the form provides that option.
- Licenses and permits: cancel state, local and professional registrations separately where needed.
- EIN: use LLC School's Cancel or Close an EIN guide for the federal account process.
- Foreign registrations: withdraw separately in other states where the Illinois LLC qualified to do business.
Common Illinois LLC Termination Mistakes
- Using the corporation Articles of Dissolution instead of LLC-35.15 Statement of Termination.
- Trying to terminate online while the LLC is not in good standing.
- Trying to request expedited service by mail even though Illinois requires in-person expedited requests.
- Having the termination executed by someone who is not authorized by the company.
- Assuming Secretary of State termination automatically closes IDOR tax accounts.
