How to Dissolve an LLC in Colorado
To formally dissolve a domestic Colorado LLC, complete the company's winding-up decision and file Articles of Dissolution — Limited Liability Company with the Colorado Secretary of State under C.R.S. §7-80-802. Colorado also lets the filing use a delayed effective date. The current live filing fee must be confirmed in the Secretary of State filing workflow before publication.
File Colorado Articles of Dissolution — Limited Liability Company with the Secretary of State after the LLC has properly approved dissolution and begun winding up. The filing may include a delayed effective date. Do not publish a filing-fee number until the current amount is confirmed in Colorado's live filing workflow. Close Colorado tax accounts separately as applicable.

What Dissolving an LLC Means in Colorado
Colorado uses Articles of Dissolution for a domestic limited liability company. Dissolution starts the formal closeout of the entity and leads into winding up. The Secretary of State filing records that action, but it does not automatically settle the company's contracts, debts, taxes, licenses or registrations.
Before You File: Approve the Dissolution
Review the operating agreement and Colorado law to document the event or member decision that causes dissolution. Keep the written consent, minutes or other approval record with the company's books. Do not apply a generic vote threshold if the LLC's governing documents or Colorado law control the actual approval rule.
Wind Up the Colorado LLC
Once dissolution is approved, shift from ordinary operations to winding up. Collect receivables, settle or end contracts, secure property, prepare final accounting records, and identify all liabilities before distributing the remaining value of the company.
Pay Creditors and Other Liabilities
Address known debts, payroll, taxes, vendor balances, refunds, leases and other claims before making final member distributions. If the LLC has disputed or contingent claims, use advice appropriate to the facts rather than relying on a generic closeout checklist.
Close Colorado Tax Accounts Separately
The Colorado Secretary of State filing and Colorado Department of Revenue tax accounts are separate. Colorado DOR's Business Tax Account Closure Form (DR 1108) is used to notify the department when the business is discontinued or is no longer liable for listed taxes. DOR also says certain accounts can be closed through Revenue Online.
Close only the accounts that apply. DR 1108 covers categories such as sales tax, withholding, 1099 withholding, excise and other Colorado accounts, with the applicable closure dates.
File Colorado Articles of Dissolution
The official filing is Articles of Dissolution — Limited Liability Company, filed pursuant to C.R.S. §7-80-802. The form asks for the Colorado Secretary of State ID number, entity name, principal-office information and the person causing the document to be filed.
Colorado business filings can use a delayed effective date. Colorado's filing guidance explains that a delayed effective date may be used to postpone the effect of a business filing, generally up to 90 days.
The Colorado Secretary of State lists an online LLC dissolution fee of USD 10. File through the entity record and confirm the displayed charge before submitting.
What Happens After Filing
After the dissolution filing becomes effective, keep the accepted record with the LLC's books and finish any remaining winding-up work. A Secretary of State filing does not automatically cancel Colorado tax accounts, professional licenses, local permits, insurance, banking or registrations in other states.
Close the Remaining Business Accounts
- Colorado DOR accounts: close the accounts that apply through Revenue Online or DR 1108 and file required final returns.
- Licenses and permits: cancel state, local and professional registrations separately where needed.
- EIN: use LLC School's Cancel or Close an EIN guide for the federal account process.
- Foreign registrations: separately withdraw or cancel the Colorado LLC in other states where it qualified.
Common Colorado LLC Dissolution Mistakes
- Publishing or paying an outdated dissolution fee without confirming the current live amount.
- Assuming the Secretary of State filing automatically closes Colorado tax accounts.
- Using a delayed effective date without considering its effect on other filings and closeout timing.
- Distributing remaining assets before liabilities are addressed.
