How to Dissolve an LLC in New Hampshire
A New Hampshire LLC dissolves under RSA 304-C:129, completes winding up and liquidation, and then files Form LLC-7, Certificate of Cancellation with the New Hampshire Secretary of State. The current SOS filing fee is $35 (electronic filings are subject to the state's additional $2 online handling charge). A major New Hampshire-specific caveat is that, before making distributions of assets to members or managers, the LLC must first obtain a Certificate/Statement of Dissolution from the Department of Revenue Administration.
Check the operating agreement first. If it does not provide otherwise, New Hampshire's default voluntary dissolution rule is a majority vote of the members, and the vote must be in writing and specify the effective date. After dissolution, finish winding up and obtain the required DRA dissolution certificate before distributing assets to members or managers. Then file Form LLC-7, Certificate of Cancellation with the Secretary of State. SOS filing fee: $35; online filings add a $2 handling charge.

What Dissolving a New Hampshire LLC Means
New Hampshire separates dissolution, winding up, and final cancellation. Under RSA 304-C:127 through 304-C:129, dissolution changes the LLC's purpose: it may no longer carry on ordinary business except activity necessary to wind up and liquidate its affairs.
The LLC's legal existence continues until its certificate of formation is cancelled under RSA 304-C:142. That means the member vote is not the final state filing—the company must complete the closing work before filing the Certificate of Cancellation.
Before You File: Approve the Dissolution
Review the operating agreement first. Under RSA 304-C:129, unless the operating agreement provides otherwise, a voluntary dissolution is approved by a majority vote of the members. The vote must be in writing and should specify the effective date of dissolution; if it does not, the date of the vote becomes the effective date.
New Hampshire also allows dissolution when an operating-agreement event occurs, by final judicial decree, or by administrative dissolution. Keep the written approval or other triggering document in the LLC's permanent records.
Wind Up the New Hampshire LLC
After dissolution, the members or managers with management authority generally wind up the company unless the operating agreement provides otherwise. RSA 304-C:139 authorizes them to settle and close the business, dispose of property, discharge liabilities, and complete the company's internal affairs.
Do not continue ordinary operating activity after dissolution. Limit activity to what is reasonably necessary to finish contracts, collect receivables, dispose of assets, resolve claims, prepare final returns, and complete liquidation.
Pay Creditors and Handle Distributions in the Correct Order
RSA 304-C:141 requires payment or adequate provision for creditors before the remaining liquidation proceeds are distributed under the statutory priority rules. Document known debts, contingent obligations, payroll, refunds, leases, contracts, and other liabilities before making final owner distributions.
New Hampshire has an additional tax-certificate step: before making any distributions of assets to members or managers during winding up, the LLC or the person winding it up must first obtain a certificate of dissolution from the New Hampshire Department of Revenue Administration under RSA 304-C:141 and RSA 77-A:18.
Obtain the New Hampshire DRA Dissolution Certificate Before Owner Distributions
The Department of Revenue Administration calls this a Certification Statement of Dissolution. Its current guidance says to submit final New Hampshire business tax returns for the period that includes the last date of business if they have not already been filed, together with the required supporting materials for the entity's situation.
The DRA currently charges a $30 non-refundable request fee through Granite Tax Connect or Form AU-22 and states an approximate response time of 60 days for a dissolution or withdrawal certification. Because RSA 304-C:141 ties the certificate to distributions to members or managers, plan this step early rather than waiting until the final day of winding up.
Do not confuse domestic and foreign LLC rules. The Secretary of State's domestic Form LLC-7 does not list a DRA tax certificate as an attachment to the SOS filing. The DRA certificate is nevertheless a statutory prerequisite before owner asset distributions. Foreign LLC cancellation has a different SOS requirement.
For annual-report or administrative-status problems, use the Secretary of State's instructions for the LLC's actual status. The ordinary domestic LLC-7 materials reviewed for this page do not state a separate annual-report catch-up attachment as part of Form LLC-7.
File Form LLC-7 — Certificate of Cancellation
After dissolution and completion of winding up and liquidation, RSA 304-C:142 allows the LLC to file its Certificate of Cancellation. The Secretary of State provides Form LLC-7. The form asks for the LLC name, the reason for cancellation, and any future effective date.
The current filing fee is $35. New Hampshire states that electronically received fees are subject to an additional $2 handling charge, so a standard online filing is generally $37 total before any optional expedited service. Paper filing remains available by mail or delivery to the Corporation Division.
Form LLC-7 must be signed by a manager if the LLC has a manager; if it has no manager, it must be signed by a member (with special rules for court-appointed fiduciaries).
When the New Hampshire Cancellation Becomes Effective
Form LLC-7 may take effect on filing or on a stated future date. The official form limits a future effective date to within 90 days of the filing date. When the cancellation becomes effective, the certificate of formation is cancelled and the LLC's entity existence ends under RSA 304-C:19 and 304-C:142.
Close New Hampshire Tax and Employer Accounts Separately
The DRA dissolution certification does not eliminate the need to file all required final New Hampshire business tax returns and resolve the LLC's actual tax accounts. Follow DRA instructions for the entity's tax classification and the period containing its last date of New Hampshire business.
If the LLC had New Hampshire employees, close the unemployment account separately with New Hampshire Employment Security. NHES's Employer Change Notice includes a request to terminate an account and asks for the last date of New Hampshire work and last date of New Hampshire payroll.
What Happens After New Hampshire Accepts the Certificate of Cancellation
Once Form LLC-7 becomes effective, the LLC's certificate of formation is cancelled. Keep the filed cancellation, written dissolution approval, DRA certification, final tax returns, creditor records, distribution accounting, and account-closure confirmations with the company's permanent records.
Cancellation with the Secretary of State does not itself cancel local licenses, professional permits, payroll accounts, bank accounts, contracts, or the IRS business account.
Close the Remaining Business Accounts
- New Hampshire DRA: complete the dissolution certification process, final business tax returns, and any remaining tax-account work.
- New Hampshire Employment Security: terminate the UI account if the LLC had covered employment.
- Licenses and permits: cancel state, local, professional, and industry registrations separately.
- EIN: close the IRS business account after required federal returns are filed.
Common New Hampshire LLC Dissolution Mistakes
- Assuming New Hampshire requires unanimous member approval when the statutory default is a majority vote unless the operating agreement provides otherwise.
- Making distributions to members or managers before obtaining the required DRA dissolution certificate.
- Confusing the DRA certificate requirement with an attachment requirement for domestic Form LLC-7.
- Filing LLC-7 before winding up and liquidation are complete.
- Ignoring the $2 electronic handling charge when budgeting an online filing.
- Assuming SOS cancellation automatically closes DRA, unemployment, license, permit, banking, or federal accounts.
