Massachusetts Dissolution vs. Cancellation

Massachusetts separates the event that causes an LLC to dissolve from the final state filing that cancels its Certificate of Organization. Under Chapter 156C, §14, the Certificate of Cancellation is filed after dissolution and completion of winding up, or at any time there are no members.

Before You File: Approve the Dissolution

Check the operating agreement first. Massachusetts General Laws Chapter 156C, §43 recognizes dissolution at a time or event specified in the operating agreement. For the standard member-driven route, the statute uses the written consent of all members. Judicial dissolution and a special historical rule for certain pre-1997 LLCs can also apply.

Wind Up the Massachusetts LLC

After dissolution, the LLC may continue only for activities necessary to wind up its affairs and distribute assets. Massachusetts §45 specifically includes prosecuting or defending proceedings, settling and closing business, disposing of property, discharging or making reasonable provision for liabilities, and distributing remaining assets to members.

Pay Creditors and Provide for Liabilities

Massachusetts Chapter 156C, §46 requires the dissolved LLC to pay or make reasonable provision for its claims and obligations, including contingent, conditional, unmatured, and known claims. Assets are distributed first to creditors, then to member distribution obligations, and then to members under the operating agreement and statutory order.

Massachusetts does not impose a general creditor-publication step in the domestic LLC cancellation provisions reviewed for this page. Do not invent a publication requirement; handle claims and liabilities under the operating agreement and Chapter 156C.

Bring Annual Reports and State Fees Current

Massachusetts regulation 950 CMR 112.19 adds an important filing prerequisite: to file a Certificate of Cancellation, the LLC must have filed all annual reports required by law and paid all required fees. Do not treat cancellation as a way to bypass overdue annual-report obligations.

File the Massachusetts Certificate of Cancellation

The Corporations Division currently lists the domestic LLC Certificate of Cancellation at a $100 filing fee and provides a specific File Online cancellation path. Under 950 CMR 112.09, business-entity documents may also be tendered by personal/courier delivery, postal service, fax, or authorized electronic transmission, subject to the Division's current filing procedures.

The filing must include the LLC's federal employer identification number, exact legal name, date its original Certificate of Organization was filed, the reason for cancellation, any later effective date, and any additional information the filer chooses to include.

The certificate may be executed by a manager, authorized person, receiver, trustee, or court-appointed fiduciary.

A Later Effective Date Is Allowed

The Certificate of Cancellation may become effective when filed or on a later date certain stated in the filing. Massachusetts §14 requires the filing to state the future effective date when cancellation will not be effective immediately upon filing.

Close Massachusetts Tax Accounts Separately

The Secretary of the Commonwealth cancellation does not automatically close Massachusetts Department of Revenue registrations. DOR says a business closing completely—or closing only specific tax registrations—must cancel them through MassTaxConnect or submit Form AI-1.

When closing through MassTaxConnect, use the actual business closing date, but file required returns through the period in which the account is actually closed in MassTaxConnect. LLC tax filing requirements vary by federal and Massachusetts tax classification, so use the final-return rules for the entity's actual accounts rather than assuming every LLC files as a corporation.

For a domestic Massachusetts LLC, the current cancellation regulation requires the Secretary-side annual reports and fees to be current, but it does not list a separate Department of Revenue tax-clearance certificate as a filing prerequisite. DOR account closure and final returns remain separate obligations.

Do not stop filing tax returns just because the state cancellation was submitted. Follow DOR's account-close timing and final-return requirements for each registration the LLC actually had.

What Happens After Massachusetts Files the Cancellation

Once the Certificate of Cancellation becomes effective, the LLC's Certificate of Organization is canceled. Massachusetts law still permits a dissolved LLC to continue for limited winding-up purposes such as resolving liabilities, disposing of property, completing litigation and distributing assets.

Keep the filed cancellation, annual-report compliance records, final tax-account closure documents and final accounting records with the company's permanent files.

Close the Remaining Business Accounts

  • Massachusetts DOR: close applicable registrations through MassTaxConnect or Form AI-1 and complete required returns.
  • Employer/unemployment accounts: if the LLC had Massachusetts employees, close or suspend the employer account separately with the Department of Unemployment Assistance using its current employer-services process.
  • Licenses and permits: cancel state, local and professional registrations separately where required.
  • EIN: use LLC School's Cancel or Close an EIN guide for the federal closeout process.
  • Foreign registrations: withdraw separately in other states where the Massachusetts LLC qualified to do business.

Common Massachusetts LLC Cancellation Mistakes

  • Filing the Certificate of Cancellation before dissolution and winding up are complete.
  • Using a majority-vote rule instead of the written consent of all members when the standard statutory member-consent route applies.
  • Trying to cancel while required annual reports or related state filing fees remain outstanding.
  • Omitting the original Certificate of Organization filing date or reason for cancellation.
  • Assuming the Corporations Division cancellation automatically closes Massachusetts DOR tax accounts.
