What Dissolving an LLC Means in Indiana

Indiana treats the filing of Articles of Dissolution as the formal legal step that ends ordinary operations and moves the business into winding up. INBiz explains that after dissolution becomes effective, the business may not carry out normal activities except those appropriate to wind up and liquidate its affairs.

Before You File: Approve the Dissolution

Review the LLC's operating agreement and Indiana's LLC law to determine the dissolution event or member approval that applies. Keep the written consent, resolution, minutes or other authorization with the company's records. The state dissolution form gives notice that entity action authorizing dissolution occurred, but it does not replace the LLC's internal approval process.

Wind Up the Indiana LLC

Before and after the state filing, complete the winding-up work that applies: collect receivables, settle contracts, identify property, pay or provide for debts and liabilities, address payroll and taxes, distribute remaining assets as permitted, and preserve final company records.

File Indiana State Form 49465 — Articles of Dissolution

The current Indiana LLC dissolution form is State Form 49465, Articles of Dissolution of a Limited Liability Company. Indiana Code §23-0.5-9-22 sets the current fee at $20 for an electronic filing and $30 for a filing made in another manner. The paper form itself displays the $30 filing fee.

The form asks for the LLC name, date of organization, date of dissolution, principal-office address, the title of the person executing the filing, signature and printed name. Paper filings are submitted to the Secretary of State Business Services Division in Indianapolis.

File the Required Indiana Agency Notices

The current State Form 49465 includes an explicit note that dissolution notice must be filed with the Indiana Department of Revenue under IC 6-8.1-10-9 and the Indiana Department of Workforce Development under IC 22-4-32-23.

Do not stop at the Secretary of State filing. Indiana's own dissolution form points filers to additional state-agency notice requirements.

Close Indiana Tax Accounts Separately

The Indiana Department of Revenue says business tax accounts can be closed through INTIME. If the business does not have an INTIME account, it must submit an Indiana Tax Closure Request, Form BC-100. If the account is not closed through INTIME or BC-100, DOR may continue sending estimated-tax bills.

Indiana DOR also maintains dissolution guidance that references Form IT-966 and BC-100 for organizations closing business. Because tax classification and registered tax types vary by LLC, use the DOR filings that actually apply to the entity rather than assuming every LLC has the same tax-return package.

What Happens After Indiana Dissolution Becomes Effective

INBiz explains that after dissolution becomes effective, the business may not continue ordinary operations and should limit activity to winding up and liquidating its affairs. Keep the accepted Articles of Dissolution and all agency closeout records with the company's permanent records.

Close the Remaining Business Accounts

  • Indiana DOR: close applicable tax accounts through INTIME or BC-100 and complete required final filings.
  • Indiana DWD: complete required employer/unemployment closeout if the LLC had an account.
  • Licenses and permits: cancel state, local and professional registrations separately where needed.
  • EIN: use LLC School's Cancel or Close an EIN guide for the federal account process.
  • Foreign registrations: withdraw separately in every other state where the Indiana LLC qualified to do business.

Common Indiana LLC Dissolution Mistakes

  • Publishing only the $30 paper fee and missing Indiana's lower $20 electronic filing fee.
  • Using a corporation dissolution form instead of State Form 49465 for an LLC.
  • Ignoring the DOR and Department of Workforce Development notice requirements printed on the official LLC dissolution form.
  • Assuming the Secretary of State filing automatically closes Indiana tax accounts.
  • Continuing ordinary operations after dissolution instead of limiting activity to winding up.
