What Dissolving an LLC Means in Idaho

Idaho's domestic LLC closeout filing is called a Statement of Dissolution. Filing it places the LLC into the formal dissolution and winding-up stage. It does not automatically settle debts, close tax permits, cancel licenses or withdraw registrations in other states.

Before You File: Approve the Dissolution

Review the LLC's operating agreement and the applicable Idaho LLC law to document the dissolution event or member approval that applies. Keep the written consent, minutes or other internal authorization with the company's records. Do not use a generic voting threshold unless the governing agreement or current Idaho law actually provides it.

Wind Up the Idaho LLC

Use the winding-up period to finish the company's affairs rather than continuing ordinary operations. Collect receivables, resolve contracts, identify assets, close payroll obligations, prepare final tax filings, and determine what liabilities must be paid or provided for before any remaining value is distributed.

Pay Creditors and Other Liabilities

Address known debts, vendor balances, taxes, payroll, refunds, leases, loans and other obligations before final distributions. If the LLC has material or disputed claims, use advice based on the actual facts rather than relying on a generic creditor-notice template.

File the Idaho Statement of Dissolution

The current Idaho Secretary of State business-forms page lists the LLC Statement of Dissolution with only the $20 manual-processing fee for paper submissions. The same page explains that most business filings can be completed electronically through SOSBiz and that electronic filing avoids the $20 paper/manual fee. That means the current base electronic filing fee is $0.

The official paper instructions require the exact LLC name, the date the Certificate of Organization was filed, any optional dissolution comments, return-contact information, and the signature of a manager, member, or authorized person.

If faster handling is needed, the current paper instructions list an additional $40 expedited-service fee or $100 same-day-service fee.

Close Idaho Tax Permits and Accounts Separately

The Secretary of State dissolution does not automatically cancel Idaho State Tax Commission permits or accounts. The Tax Commission provides two routes: use TAP (Taxpayer Access Point) to cancel a permit/account while filing the applicable return, or use the Business Taxpayer Self-Service request when TAP is not available for the needed change.

The Tax Commission's self-service process specifically supports cancellation of sales, withholding, IFTA and other account types. Close only the registrations that actually apply to the LLC and complete any required final returns and payments.

Do not leave Idaho tax permits open after the business stops. Idaho Tax specifically directs prior owners or closing businesses to cancel permits/accounts rather than leaving them attached to the old business.

What Happens After Idaho Accepts the Dissolution

Keep the accepted dissolution record with the LLC's permanent books and finish the remaining winding-up work. The Secretary of State filing does not automatically terminate contracts, insurance, banking, tax permits, local licenses, EIN-related records or foreign registrations.

Close the Remaining Business Accounts

  • Idaho tax permits: cancel applicable sales, withholding or other accounts through TAP or Business Taxpayer Self-Service.
  • Licenses and permits: cancel state, local and professional registrations separately where required.
  • EIN: use LLC School's Cancel or Close an EIN guide for the federal closeout process.
  • Foreign registrations: withdraw separately in every other state where the Idaho LLC qualified to do business.
  • Banking and insurance: keep them open long enough to clear final obligations, refunds and claims.

Common Idaho LLC Dissolution Mistakes

  • Calling the $20 paper/manual-processing charge the online filing fee.
  • Using a corporation Articles of Dissolution form instead of the LLC Statement of Dissolution.
  • Having the form signed by someone who is not a manager, member or authorized person.
  • Assuming the Secretary of State filing automatically closes Idaho tax permits.
  • Leaving licenses, EIN, banking or other-state registrations open after dissolution.
