How to Dissolve an LLC in California
To close a domestic California LLC, complete the dissolution and winding-up process, file the required final California tax return, and submit the termination filing through bizfile Online. The Secretary of State charges no filing fee for an LLC termination. Most domestic LLCs use Certificate of Cancellation (LLC-4/7), with Certificate of Dissolution (LLC-3) also required unless all members voted to dissolve.
California LLC terminations are now filed online only through bizfile Online and require Full Access to the entity. There is no Secretary of State filing fee. A domestic LLC generally files LLC-4/7 Certificate of Cancellation and, unless all members voted to dissolve, LLC-3 Certificate of Dissolution. File the final California return and finish FTB obligations separately.

What Dissolving a California LLC Means
California distinguishes the decision to dissolve and wind up from the final cancellation of the LLC's registration. The Secretary of State's status definitions describe a domestic LLC as dissolved when it has elected to wind up, while a canceled LLC has filed the Certificate of Cancellation and its powers, rights and privileges have ceased in California.
Before You File: Approve the Dissolution
Review the operating agreement and California law to document the dissolution decision. This matters because California's filing path changes depending on whether all members voted to dissolve. If all members approved the dissolution, the LLC-4/7 Certificate of Cancellation can state that fact and LLC-3 is not required. Otherwise, LLC-3 must be filed before or together with LLC-4/7.
Wind Up the California LLC
Before cancellation, finish the company's winding-up work: collect receivables, resolve contracts, address debts and claims, pay or provide for obligations, distribute remaining assets as allowed, and preserve the records needed for taxes and member accounting.
File the Final California Tax Return
The Franchise Tax Board says that an LLC closing its California business must file the required final current-year return and check the applicable Final Return box. The business must also stop doing business in California after the final taxable year. FTB's LLC guidance explains that, in general, the annual LLC tax and California return obligations continue until the appropriate cancellation papers are filed, subject to the specific exceptions and timing rules that apply.
Timing matters for California's annual LLC tax. FTB explains that the LLC-4/7 effective date is important for stopping future annual-tax assessment; filing after the taxable-year ending date can create another filing/tax year unless an exception applies.
Choose the Correct California Termination Filing
Most domestic LLCs: LLC-4/7 Certificate of Cancellation
This is the final cancellation document for a California LLC. The Certificate states that required final California returns have been or will be filed. If all members voted to dissolve, the LLC-4/7 can note that fact and the separate LLC-3 is not required.
When LLC-3 Certificate of Dissolution is also required
If the vote to dissolve was not made by all members, California requires the Certificate of Dissolution before or together with the Certificate of Cancellation.
Short Form Cancellation — LLC-4/8
A domestic LLC organized in California may qualify for short-form cancellation only if it satisfies the statutory conditions, including filing within 12 months of organization, no business activity after formation, no debts or liabilities other than tax liability, and the required asset and approval conditions. Do not use LLC-4/8 merely because the LLC is small.
File the Termination through bizfile Online
California changed this process in 2026. Effective July 1, 2026, LLC terminations must be filed online through bizfile Online, and the user must establish Full Access to the entity. The Secretary of State currently charges no filing fee for termination documents.
If the LLC Is FTB Suspended
An FTB-suspended California LLC cannot simply use the ordinary online termination route. The Secretary of State directs suspended domestic LLCs to first use the Franchise Tax Board's FTB 3716 PC, Domestic Limited Liability Company Request for Voluntary Administrative Cancellation. After FTB approval, the LLC follows the Secretary of State cancellation process with the required FTB approval documentation.
What Happens After California Accepts the Cancellation
When the Certificate of Cancellation becomes effective, the domestic LLC's registration is canceled and its powers, rights and privileges cease in California, except as otherwise provided by law. Keep the accepted termination filing and final FTB records together and finish any remaining account closures.
Close the Remaining Business Accounts
- FTB filings: file the appropriate final return and satisfy applicable annual-tax or LLC-fee obligations.
- Payroll and sales-tax accounts: close any state accounts that apply to the business.
- Local licenses: cancel city, county and professional permits separately.
- EIN: use LLC School's Cancel or Close an EIN guide for the federal account process.
- Foreign registrations: withdraw separately in other states where the California LLC qualified to do business.
Common California LLC Cancellation Mistakes
- Using old paper-filing instructions even though terminations became online-only July 1, 2026.
- Skipping LLC-3 when the dissolution was not approved by all members.
- Assuming the Secretary of State filing automatically satisfies FTB final-return obligations.
- Using the short-form cancellation route without meeting every eligibility condition.
- Trying the ordinary termination route while the LLC is FTB suspended instead of following the special FTB cancellation process.
