Michigan LLC Annual Statement: $25, Due Feb 15 (2026)
Michigan calls it the annual statement (most people search "annual report" — same thing). At $25 it's one of the cheapest compliance filings in the country, and it's due February 15 for every LLC in the state. Here's the full playbook, the first-year exception, and a calculator for your exact deadline and status.
Every Michigan LLC files an annual statement with LARA by February 15 each year — the same date for every LLC. The fee is $25, filed online through the MiBusiness Registry Portal or by mail. First-year exception: LLCs formed October 1–December 31 skip the immediately following February 15. Miss the deadline and your LLC drifts out of good standing; go two consecutive years unfiled and LARA can administratively dissolve it, with reinstatement costing $100 plus $25 per missed statement.

What the Michigan Annual Statement Is
A compliance confirmation, not a financial disclosure. The annual statement — officially the term LARA uses, though most founders search "annual report" — confirms your LLC's current information: principal address, resident agent and registered office, and management. No revenue data. Its defining features:
- $25 a year — among the cheapest ongoing state fees in the country.
- February 15 for everyone — Michigan uses one statewide date rather than anniversary dates, so your deadline is easy to remember but shared by every LLC (which is exactly why it gets forgotten en masse each year).
- Filed with LARA — online through the MiBusiness Registry Portal (fastest) or by mail.
- The October–December exception — form in the last quarter and your first February 15 is waived.

How to File in 10 Minutes
Log in to the MiBusiness Registry
The same account that formed your LLC files your annual statement — search your entity and select the annual filing.
Confirm your information
Principal address, resident agent and registered office, management. Update anything that changed during the year.
Pay $25 and archive
Pay by card, download the confirmation — your proof of good standing — and verify next year's February 15 reminder exists.
File in January, not February: the February 15 deadline lands in the middle of tax-season prep, when one more filing is easy to lose. LARA's system accepts the statement well before the deadline, so knock it out in early January while things are quiet — it's $25 and ten minutes, and doing it early removes it from the exact week you least want to remember it.
If You Miss February 15
Out of good standing
Your LLC's status changes with LARA. It can't bring lawsuits in Michigan courts while not in good standing, and financing or deals can stall. File the overdue statement to cure.
Two consecutive years: dissolution risk
Under MCL 450.4922, an LLC that fails to file for two or more consecutive years can be administratively dissolved — your liability shield's legal foundation, gone.
Reinstatement
Filing for reinstatement runs a $100 fee plus $25 for each missed annual statement — always more than staying current, before counting the re-verification friction with banks and vendors.
Never-Miss Tips
- File in early January — before tax season buries the February 15 date.
- Set a recurring calendar reminder for February 1 with a hard deadline of February 15.
- Keep your resident agent address current so LARA's reminders actually reach you.
- Let a service handle it — many commercial resident agents track and file the statement as part of their fee.
Ahmad Adil's Take: a $25 filing should never cost anyone their LLC, but in Michigan it occasionally does — and the reason is always the calendar, never the money. February 15 sits in the worst possible spot: post-holidays, mid-tax-season, the exact stretch where administrative tasks vanish. My fix is dead simple and I give it to every Michigan client: file in the first week of January, the moment the new year's system opens. You're never juggling it against your taxes, you're never relying on a reminder reaching a possibly-stale agent address, and the cheapest compliance in the region stays exactly that. Early beats on-time every year here.
