How to Cancel / Close an EIN with the IRS (2026)
You cannot delete an EIN — once the IRS assigns one, it exists in their system permanently. What you can do is close the associated IRS business account, which deactivates the EIN for future use. This guide covers exactly when you should close an EIN, the correct letter format to send the IRS, what happens to the number, and the critical difference between closing your EIN account and dissolving your LLC with the state.

To close an EIN, write a letter to the IRS requesting closure of your business account — include your LLC's legal name, EIN, business address, and reason for closing. Mail to: IRS, Cincinnati, OH 45999. If you have the original EIN confirmation letter (CP575), include it. The IRS processes closure requests in about 45 days and sends a confirmation. The EIN number itself is never truly deleted — it is deactivated and can never be reissued to another entity.

Can You Actually Cancel an EIN?
The first thing to understand about canceling an EIN is that the IRS never truly deletes an EIN. Once assigned, the nine-digit number is permanently associated with your entity in IRS records — it cannot be reassigned, reused, or erased. What you can do is request that the IRS close the business account associated with that EIN, which deactivates it for future use.
This distinction matters: if you ever need to reopen a business later, you would reactivate the same EIN — you would never receive a new one for the same entity. Likewise, if you sold your LLC, the buyer can use the same EIN (though some situations require a new one — covered below).
Terminology note. The IRS does not use the phrase "cancel EIN" in its official guidance — it calls the process "closing your business account" or "canceling your EIN." Both phrases refer to the same action: submitting a written request to deactivate the EIN account. This guide uses "cancel EIN" because that's how most people search for it, but the official IRS terminology is "close your business account."
Should You Cancel Your EIN? When It Makes Sense
Canceling an EIN is not mandatory — even after dissolving your LLC. The IRS does not require you to close a business account when a business ends. However, there are situations where requesting EIN closure is the right move:
Do NOT cancel your EIN if you might restart the business. If there's any chance you will reactivate your LLC or use the same entity again, do not submit an EIN closure request. The same EIN can be reactivated simply by writing to the IRS or resuming business filings. Closing and later reopening is more work than simply leaving the account dormant. An unused EIN with no filing activity generates no fees or penalties on its own.
Complete These Steps Before Canceling Your EIN
The IRS will not accept an EIN cancellation request if you have outstanding tax obligations. Before sending your closure letter, verify every item below is complete. Attempting to cancel an EIN with unfiled returns or open balances results in the IRS rejecting your request and sending collection notices instead.
EIN Cancellation vs LLC Dissolution — Two Completely Separate Processes
This is the most important distinction most LLC owners miss. Canceling your EIN with the IRS and dissolving your LLC with your state are two independent, unrelated actions. One does not automatically trigger the other. Both must be completed separately.
- Submitted by written letter to IRS Cincinnati, OH
- Deactivates the EIN in federal tax records
- Signals no future federal returns expected
- Does NOT dissolve your LLC legally
- Does NOT cancel state registrations
- Does NOT relieve pre-existing tax debt
- ~45 days processing by mail
- Filed with your state's Secretary of State office
- Articles of Dissolution or Certificate of Termination
- Ends the LLC's legal existence in that state
- Removes obligation to pay future annual report fees
- Does NOT close your IRS business account
- Does NOT cancel your EIN automatically
- State-specific fees and processing times apply
Which to do first — state or IRS? File your state dissolution first. The IRS may request your state dissolution documents as supporting evidence when reviewing an EIN cancellation request. Having the state confirmation in hand makes your IRS letter stronger. The typical order: (1) file final state returns → (2) file Articles of Dissolution with the state → (3) receive state dissolution confirmation → (4) send EIN cancellation letter to IRS.
How to Cancel an EIN: Step-by-Step
There is no official IRS form for closing an EIN business account. The IRS requires a written letter — mailed to their Cincinnati processing center. The letter must include specific information; missing any of it results in rejection and delay.
- Complete all pre-closure requirements above. File your final tax return with "Final Return" checked, pay all outstanding balances, close payroll accounts, and dissolve the LLC with your state before writing this letter. The IRS verifies your filing history before processing closures. Do not send the closure letter until final returns are filed and all taxes are paid.
- Write your EIN cancellation letter using the template below. The IRS requires: LLC legal name, EIN, business address, reason for closure, a statement that you have filed all final returns, and a request to close the account. If you have your original EIN confirmation letter (CP575), include a copy — it helps the IRS locate your account faster.
- Sign the letter as an authorized representative of the LLC. The letter must be signed by a member, manager, or authorized officer of the LLC. It cannot be submitted anonymously. Include your title (e.g., "Managing Member") beneath your signature.
- Mail the letter to the IRS at the correct address. Mail to: Internal Revenue Service, Cincinnati, OH 45999. Send via USPS certified mail with return receipt so you have proof of delivery and the date the IRS received it. Keep the tracking confirmation and return receipt permanently. The IRS does not accept EIN cancellation requests by fax, email, or phone — mail only.
- Wait approximately 45 days for IRS confirmation. The IRS sends a written confirmation letter confirming the business account has been closed. This letter is your permanent proof that the EIN account is deactivated. File it with your LLC's dissolution documents. If you don't receive confirmation within 60 days, call the IRS Business & Specialty Tax Line at (800) 829-4933 to follow up.

When You Need a New EIN Instead of Canceling
Not every business change calls for canceling your EIN. In some situations, you need a new EIN rather than closing the old one. Here's how to know which applies:
| Situation | Action Required | Explanation |
|---|---|---|
| LLC permanently dissolved | Cancel EIN | Close the account after filing final returns. If you start a new business, get a new EIN for the new entity. |
| Duplicate EIN obtained in error | Cancel duplicate | Keep the EIN associated with your official records; cancel the unused one. |
| LLC name change only | Keep same EIN | A name change does not require a new EIN. Notify IRS of the name change via written letter or Form SS-4 amendment. |
| Address or ownership % change | Keep same EIN | These changes don't affect the EIN. Update IRS records by writing a letter or updating your annual return. |
| Single-member LLC adds a second member | Keep same EIN | Tax classification changes from disregarded entity to partnership, but the EIN remains the same. |
| LLC elects S-Corp or C-Corp status | Keep same EIN | Tax elections do not require a new EIN. File Form 2553 or 8832 using the existing EIN. |
| LLC purchased by new owner (stock/membership purchase) | Keep same EIN | When ownership transfers but the LLC entity continues, the EIN stays with the entity. |
| LLC purchased via asset purchase (not entity) | New EIN needed | Buyer forms a new entity to hold the assets; that new entity needs its own EIN. Old LLC cancels its EIN. |
| Sole proprietor incorporating into LLC | New EIN needed | A new LLC is a new legal entity — it needs its own EIN even if the owner is the same person. |
What Happens After You Cancel an EIN
After the IRS processes your EIN cancellation request and sends your confirmation letter, several things happen — and some important things do not happen that you might assume.
What Does Happen
- The IRS marks the business account as closed in their system
- The EIN is deactivated — it cannot be used to file new returns or open new accounts
- The IRS sends a written confirmation letter to the address in your closure letter
- The IRS stops expecting future annual returns under that EIN
- You receive confirmation you can store permanently with your dissolution records
What Does NOT Happen
- The EIN is not deleted — it remains in IRS records permanently, just deactivated
- Prior tax years are not affected — the closure is forward-looking only
- Outstanding tax debts do not disappear — any remaining balances are still owed
- Your LLC is not dissolved by the IRS — state dissolution must be done separately
- Your state registrations are not cancelled — annual report obligations continue until state dissolution is complete
- The number cannot be reissued — that EIN is permanently yours and will never belong to another entity
Ahmad Adil's Take: Most LLC owners who are closing a business underestimate how many steps are involved and how separate the IRS and state processes are. I've seen people dissolve their LLC with the state and assume everything is done — then get IRS notices two years later asking why Form 1065 wasn't filed. The "Final Return" checkbox on your last tax return and the written EIN closure letter are what tell the IRS you're done. Do both, send the letter certified mail, and keep the confirmation forever. The whole process takes maybe 90 minutes of actual work — most of the timeline is just waiting for the IRS to mail back their confirmation.
