Maine Registered Agent: Commercial vs Noncommercial (2026)
Maine adopted the Model Registered Agents Act, which splits agents into two legal categories — commercial (listed by CRA number) and noncommercial (listed by name and address). Your MLLC-6 asks which kind you have. Here's what each means, and how to choose.
Every Maine LLC must continuously maintain a registered agent. Maine recognizes two types: a commercial registered agent (CRA) — a professional service registered with the state and listed on your filing by its CRA number — or a noncommercial agent — any individual or entity with a physical Maine street address, listed by name and address. You can be your own noncommercial agent for $0; commercial services run about $125/yr. Changing agents later uses Form CLKRA-3 ($35).

What a Maine Registered Agent Does
Your registered agent is the official recipient of lawsuits (service of process) and state correspondence for your LLC — including any courtesy reminders about the June 1 annual report. Maine requires one continuously; a lapsed agent is an independent ground for administrative dissolution, with its own $150 charge at reinstatement time.
- Accepts service of process — lawsuits, subpoenas, official legal mail, in person during business hours.
- Receives state notices — including dissolution warnings you absolutely want to see.
- Appears on the public record — searchable by anyone, permanently.
Commercial vs Noncommercial: What Maine's Two Categories Mean
Under the Model Registered Agents Act (which Maine adopted), the split is administrative, not qualitative:
Commercial registered agent (CRA)
A professional agent company that has filed a listing statement with the Secretary of State and holds a CRA number. On your MLLC-6 you list just the name and number — the state already has their address. When a CRA moves offices, one filing updates every client at once.
Noncommercial registered agent
Everyone else: you, a co-member, your attorney, any Maine adult or entity with a physical street address (no P.O. boxes). Listed by full name and address on your filing — and that address is public forever. If it changes, that's a $35 CLKRA-3 filing per entity.
The email lifeline: Maine mails no annual report forms — reminders are courtesy emails only, from cec.corporations@informe.org, and only if a valid email is on file. Your agent setup and your contact email are the entire early-warning system for the June 1 deadline. A stale address on either one means the first notice you see may be the dissolution warning.

4 questions · commercial vs noncommercial recommendation with 3-year math
Cost math: noncommercial DIY = $0 (plus $35 CLKRA-3 per address change). Commercial ≈ $125/yr = $375 over 3 years ($250 with year 1 free via Northwest formation).
Your Options Compared
| Option | Type | 3-Year Cost | If You Move | Privacy |
|---|---|---|---|---|
| Be your own agent | Noncommercial | $0 | $35 CLKRA-3 filing | None — address public |
| Friend / attorney in ME | Noncommercial | $0–varies | $35 per change | Their address public |
| Northwest | Commercial (CRA) | $250–$375 | Their problem, not yours | Full — CRA listed |
Changing Agents Later: Form CLKRA-3, $35
File the Statement of Appointment or Change of Registered Agent (CLKRA-3) with $35 — and yes, it's a paper filing like everything else in Maine formation. Never leave a resignation or a dead address unaddressed: agent failure is a separate ground for administrative dissolution, and at reinstatement each ground bills $150.
Ahmad Adil's Take: Maine's CRA system quietly rewards the commercial option in one specific scenario: movers. As a noncommercial agent, every address change is a $35 paper filing per entity — and forgetting one severs your only line to the state in a state that mails nothing. A CRA absorbs all of that. If you own one LLC and you're settled, DIY is fine; if you move, travel seasonally (very Maine), or run multiple entities, the $125/yr pays for itself in filings you never make and warnings you never miss.
