What Are the Articles of Organization?
The Articles of Organization (sometimes called a Certificate of Formation in other states) is the founding legal document of your LLC. When the Florida Division of Corporations receives, reviews, and approves it, your LLC legally comes into existence as a separate legal entity with its own rights, obligations, and liability protection.
In Florida, you file it through Sunbiz — the Florida Division of Corporations online portal — under Florida Statute §605.0201. The form itself is short, the fee is $125, and online processing takes about 5 business days. It's the most consequential step in the entire LLC formation process: nothing else matters until this is done.
Non-refundable regardless of outcomeThe $125 filing fee is non-refundable even if Sunbiz rejects your filing. This is why verifying your LLC name availability (Step 1) and having your registered agent ready (Step 2) before filing matters — rejections waste time and money.
What You Need Before You File
Gather these four things before you open the Sunbiz filing form — the system times out if you're inactive too long, and you can't save a partially completed form:
- Your confirmed LLC name — exactly as you searched and confirmed available on Sunbiz, including the designator (e.g., "Oak Street Consulting LLC").
- Your Florida registered agent's name and street address — the exact name and Florida street address your agent will use (if using Northwest, they provide this when you sign up).
- Your LLC's principal office address — a physical Florida or out-of-state street address for your LLC's main place of business. No P.O. boxes.
- A credit card — for the $125 filing fee. Sunbiz accepts Visa, MasterCard, American Express, and Discover. Mail-in filings accept check or money order.
Every Field on the Florida Articles of Organization
The Sunbiz online form has several sections. Here's exactly what each field means and what to enter:
Effective Date
OptionalWhen do you want your LLC to legally exist? You can choose a date up to 5 business days before your submission date (backdating) or up to 90 days after (future dating). Most people leave this blank — which means your LLC becomes active on the date Sunbiz approves the filing.
LLC Name
RequiredEnter your complete LLC name exactly as you want it registered, including the designator (LLC, L.L.C., or Limited Liability Company). Florida accepts any capitalization style. Avoid unnecessary punctuation — ampersands, special characters, and symbols can cause processing issues with banks and payment processors later.
Principal Office Address
RequiredThe physical address where your LLC's main business is located. This can be your home, a commercial office, or a coworking space — but it must be a real street address (no P.O. boxes). It doesn't have to be a Florida address; out-of-state principal offices are allowed, but your registered agent must still have a Florida address. This address becomes public on Sunbiz.
Mailing Address
OptionalIf your LLC receives mail at a different address than the principal office, enter it here. This is the only field on the form where a P.O. box is acceptable. If your mailing address is the same as your principal office, leave this blank.
Registered Agent Name & Address
RequiredEnter your registered agent's full legal name (individual or company) and their Florida street address exactly as provided. If you're using Northwest, they give you the specific name format and address to use — copy it precisely, because even minor variations (e.g., "LLC" vs "L.L.C." in the agent company name) can cause processing delays. The agent must then electronically sign or type their name in the consent field to accept the appointment.
Authorized Person(s) / Members & Managers
Optional but RecommendedThis is where you list the people authorized to manage your LLC. Florida uses two role codes: AMBR (Authorized Member — for member-managed LLCs, which is the default) and MGR (Manager — for manager-managed LLCs). You don't have to list anyone here, but most people do — banks often expect to see a member or manager listed on the public Sunbiz record when opening a business account.
Authorized Signature
RequiredThe person filing the Articles of Organization signs here, affirming under penalty of perjury that all information is accurate. Online filings accept a typed name as a legal electronic signature. This doesn't have to be a member or manager — anyone authorized by the organizer can sign.
Certified Copy & Certificate of Status
OptionalAt checkout, Sunbiz offers two optional add-ons. A Certified Copy ($30) is a certified stamped copy of your filed Articles — some banks, lenders, and foreign LLC registrations require one. A Certificate of Status ($5) certifies that your LLC is active and in good standing — useful for contracts and licensing applications. Neither is required to form your LLC.

How to File the Florida Articles of Organization (Step by Step)
- Go to efile.sunbiz.org and click "File Florida LLC Articles of Organization Online."
- Read and accept the disclaimer, then click "Continue to Order Form."
- Enter your effective date if desired (most people leave this blank).
- Enter your LLC name exactly as confirmed available in Sunbiz.
- Enter your LLC's principal office address and mailing address if different.
- Enter your registered agent's name and Florida street address. The agent must then type their name in the consent field to accept the appointment.
- Optionally add your authorized member(s) or manager(s) — enter your name and address with role code AMBR for a member-managed LLC.
- Enter your email address — this is where your approval confirmation will be sent. Keep it accurate.
- Type the authorizer's name in the signature field to sign electronically.
- Select optional add-ons (Certified Copy $30, Certificate of Status $5) if needed.
- Pay the $125 filing fee by credit card (Visa, MasterCard, Amex, or Discover).
- Submit — you'll receive a tracking number. Your email confirmation arrives once Sunbiz reviews and approves the filing.
Processing Time and What Happens After Approval
Online filings are typically processed in about 5 business days. Mail filings take approximately 12 business days plus postal transit time — there's no reason to use mail unless you have a specific reason.

Once approved, you'll receive email confirmation containing your LLC's name, assigned Document Number, filed date, and effective date. Sunbiz does not send U.S. mail confirmation for online filings. You can also download a free image of your filed Articles from Sunbiz at any time after approval — no need to pay for the certified copy just to have a record.
Save your Document NumberYour Florida LLC's Document Number appears in your approval email and on Sunbiz. You'll need it to file your Annual Reports, make changes, and request certificates later. Save it somewhere safe.
Common Reasons Florida Articles Are Rejected
Sunbiz will reject your filing if anything fails their review. Rejections don't refund your $125 — you correct and resubmit using the tracking number and PIN from the rejection email. The most common causes:
- Name not available — another entity has the same or confusingly similar name. Run the Sunbiz name search (Step 1) before filing.
- Missing or wrong designator — the name doesn't end in LLC, L.L.C., or Limited Liability Company.
- Registered agent consent missing — the agent didn't type their name in the consent field, or the agent's address is a P.O. box.
- P.O. box as principal office — the principal office address field requires a physical street address.
- Restricted word without authorization — the name contains a professional or government word that requires pre-approval.
- Registered agent name mismatch — the agent's name in the form doesn't exactly match their registered name (common with service providers).
If your filing is rejectedSunbiz emails you a rejection notice with a tracking number and 4-digit PIN. Go back to the filing page, enter both numbers, correct the issue, and resubmit. You don't pay again for the resubmission — the original $125 covers it. If it's been more than a certain window, Sunbiz may require a new filing with a new fee — the rejection email will specify.
